$CSU just told you how they’re going to solve the only problem that matters.
Every great capital allocator hits the same wall. The cash generation outgrows the deal pipeline.
Buffett hit it in the 80s. Float got too big for private deals. He went public. Coke. Amex. Apple. Compounded at a scale private markets couldn’t match.
Singleton hit it at Teledyne. Acquisitions slowed. He put 25% of assets into public equities at distressed prices.
$CSU is at that wall right now. $1.7B+ in annual free cash flow.
And here’s the gap nobody on the call said out loud but the math screams.
Anzarouth confirmed private software prices haven’t dropped. Competition strong. Seller expectations unchanged. AI panic hasn’t touched private multiples.
Public markets are offering access to businesses at a scale CSU could never touch privately. And at prices where the IRR works.
On today’s call Miller introduced PEMS. Permanent Engaged Minority Shareholder strategy. Board seats. Operators in boardrooms. Same IRR hurdle as acquisitions.
Sabre is the first.
But here’s what really stopped me.
Miller credited Leonard with helping develop PEMS. And helping explicitly on the Sabre investment.
Think about that.
Leonard spent 30 years building the acquisition machine. Hundreds of deals a year. $11.6B in revenue. A thousand businesses.
Then he saw the wall coming. The cash was growing faster than the private deal pipeline could absorb.
So before he stepped down, he helped build the strategy that comes after the acquisition machine.
He didn’t just hand Miller a thousand software businesses. He handed him the playbook for what comes after.
2018 letter: “I am already casting about for such opportunities.”
That was before PEMS had a name.
