It’s been some time since MiCA's transitional period ended. Has anything changed for tokenized securities? Short answer: no. If a token qualifies as a financial instrument, it sits under MiFID II, not MiCA. Same rulebook as any bond or share. A CASP authorization doesn't cover distributing it.

2/ For Europe, the question isn't waiting for a new regime. Tokenized securities already sit under EU securities law, and MiFID II supports native issuance today. That's the framework we use to bring native on-chain securities to the EU.

Most tokenized funds just mirror the off-chain TradFi instruments. The fund runs the old way, tokens get issued on top, and the real ownership records remain in a separate system. Hong Kong just authorized something that drops this structure entirely⬇️

Putting a bond on a blockchain makes it neither safe nor liquid. Liquidity comes from a market. Protection comes from the framework around it, not the code inside. The chain just moves it faster. Both come down to who's accountable when it reaches an investor.

The UK just put 54 firms, including @BlackRock, @GoldmanSachs, and @jpmorgan, into a year-long taskforce on tokenized markets. In the EU, the rails already exist: MiFID II and the DLT Pilot Regime. Tokenization's hard part was never the technology. It's the regulatory framework underneath.

Plenty of RWAs are just TradFi instruments on a chain. But a lot of them are actually issued by firms that aren't securities firms, so you get the instrument without the obligations attached. Someone regulated still has to supply them: KYC, target market, accountability.

5/ That's the line between a marketplace that lists whatever shows up and a licensed venue that stands behind what it distributes.

4/ None of this is visible to the buyer. It all happens before the instrument ever appears on a venue.
