Big valuation headlines do not protect founders. The real risk is in the term sheet. Founders need to look past the raise amount and understand liquidation preference, participating preferred, multiple preferences like 2x, drag-along rights, and who actually controls sale approval, because those terms can decide who gets paid first and whether founders get anything at all. One of the smartest things a founder can do is have a strong lawyer model the payout waterfall before signing, not after the exit.
