A potential client told me that the other tax practitioners asked more questions before telling him that his business didn't qualify under IRC 1202, though they all reached that conclusion. Sorry that I answered your question faster. I'll be dumber and less informed next time.

Tweet 3/3 This is how you move from reactive tax prep to high-value proactive advisory. If you have clients holding real estate or business interests simply to avoid the tax hit, let’s talk about the CRT playbook. DM me for the full strategy guide. #TaxTwitter

Tweet 2/3 The Charitable Remainder Trust (IRC Sec. 664) isn’t just for philanthropy. It’s a powerful income tool: 1⃣Transfer the asset 2⃣CRT sells tax-free (no immediate capital gains) 3⃣Client gets a partial deduction + lifetime income stream The charity wins later; the client wins NOW.

Tweet 1/3 The most frustrating conversation for a CPA: A client with a $5M asset and a $500k basis who refuses to sell because of the tax haircut. They stay “trapped” in a concentrated position just to avoid the IRS. Here is the blueprint to unlock that capital. 🧵

Warren: Are you refusing to tell us if you have investments in vehicles set up by Jeffrey Epstein? Kevin Warsh: Those assets will be sold if I'm confirmed

9/10 THE CPA WIN: The CPA didn’t just save their client from a value-destroying PE disaster — they kept (and strengthened) a highly profitable relationship. They now expertly handle the complex S-Corp K-1s and distributions to cover the founder’s 20% tax liability. CPAs: this is how you become indispensable. #TaxTwitter #CPA

8/10 DEBT PAYDOWN & EQUITY BOOST: That tax shield dramatically boosts free cash flow, letting the company crush the $12M leveraged loan much faster than expected. As the debt disappears, the value of the founder’s remaining 20% equity explodes upward. Win-win for everyone involved. 📈

1/10 PE firm dangles a full buyout in front of my client’s $40M construction company… but would replace the entire 20-year management team AND their long-time CPA. 😠 We said, let's discuss a better option. Instead, we engineered an 80/20 ESOP that delivered a $12M tax-deferred payday while protecting culture, team, and the advisory relationship. CPAs — this is how you become the hero for your founder clients. Structural breakdown below. 🧵👇

Your $800k physician clients are DONE with the 401(k). $24,500 is meaningless when they’re writing $250k+ checks to the IRS every April. They look you dead in the eye and ask: “Is there anything else I can do?” 👉 Swipe through The answer is a Cash Balance Plan — a 401(k) on steroids. It adds $150k–$300k+ (age-dependent) for a total deduction of $175k–$325k… …which can delete $65k+ from their current-year tax bill. Stop letting competitors steal your HNW clients. What’s the average tax bill for your top 10 clients right now? Drop it below 👇 #TaxTwitter #CPAs

7/7 Your clients trust YOU to protect them — not some TikTok guru. But you don’t have to become a full-time QRP portfolio expert. We partner with CPAs and tax pros to handle the specialized Section 1042 compliance and custom QRP construction so you keep the relationship and your clients stay safe. DM me or comment “1042” and let’s talk about adding this to your toolkit. #ESOP #TaxTwitter

6/7 5. The Margin Call Nightmare The “gold standard” QRP is often a custom portfolio of corporate bonds (Floating Rate Notes). Clients borrow against it for liquidity. Sounds clean… until rates spike or markets move, forcing a margin call and liquidation. Result? Instant 1042 disqualification + massive tax hit. Not as risk-free as the gurus claim.

CPA friends — Your client just sold their life’s work to an ESOP for a cool $10 million. They saw a post online promising “zero tax.” Now they’re sitting in your office expecting you to wave the magic wand. 🪄 You already know: Section 1042 is powerful… but the internet advice is dangerous. Here are the 5 traps that blow up these deals. 🧵
