This post is a securities-law violation buffet by Josh Cohen of $AZRH @SECGov. This is textbook fraudulent solicitation of investors through materially false and misleading statements in connection with an unregistered securities offering. Crimes/violations clearly committed (and I am willing to assume defamation liability because this is all true): Securities fraud, fraudulent misrepresentation, offering fraud, unregistered securities offering, illegal general solicitation, penny stock fraud, market manipulation, material omission, false forward-looking statements, acting as an unregistered broker. Potentially this is criminal securities fraud, conspiracy to commit securities fraud and wire fraud. Granularly: Promising or implying a “10x return” while pitching an investment is illegal. That’s Securities Act §17(a) + Rule 10b-5. Full stop. Calling a penny stock “safe” is a material misrepresentation. There is no such thing. That’s fraud, not optimism. Publicly saying “we’re raising $1.5M — call/email me” = illegal general solicitation unless properly registered or Reg D-compliant. Admitting the strategy is to start as a penny stock to engineer upside screams market manipulation and triggers penny-stock anti-fraud rules. Consequences aren’t theoretical: • ~$1M per-violation SEC fines • Disgorgement + lifetime market bans • Up to 20 years prison / $5M fine if criminal fraud is shown @visionoilandgas you are going to prison.
