Water, energy and raw materials are no longer commodities. They have become the strategic foundations of our economies, and that changes everything. I discussed how on stage today at our Annual Shareholder Meeting.  We have entered a new era, one where guaranteeing access to vital resources for everyone, whatever the crisis, has become as crucial as energy or food security. This is what I call ecological security, and it is the compass that now guides every decision we take. Veolia is the powerhouse of this new security, and we act on three fronts at once.  On water, our teams keep desalination infrastructure running around the clock in regions of Africa and the Middle East where up to 95% of drinking water depends on it. Europe itself, hit by successive droughts, is rediscovering that water has become a question of national sovereignty.  On energy, our circular heat networks are turning what used to be considered waste into resilience: in Poznan, by recovering heat from wastewater and from a nearby automotive plant, we have replaced coal and now save 80,000 tonnes of CO₂ each year. Across Europe, the potential of this kind of unused local energy reaches 400 GW, roughly the equivalent of 400 nuclear reactors hidden in plain sight.  On critical minerals, where Europe still imports 98% of the lithium, cobalt and rare earths it needs, our recycling capacity in Metz now reaches 99% purity on batteries and even extracts lithium from wastewater, turning what used to be a vulnerability into a lever of industrial autonomy. The figures we shared today reflect the strength of our trajectory. Halfway through our #GreenUp plan, our organic EBITDA growth reached 6.3%, our margin gained 150 basis points in two years and our net income progressed by 9%, allowing us to propose a 7% dividend increase to 1.50 euros per share. Our PFAS treatment activity alone grew by 25%, putting us firmly on the path to one billion euros in revenue by the end of the decade.  Transformational acquisitions have already redrawn our footprint, with our acquisition of Clean Earth set to double our scale in hazardous waste in the United States once finalized. And just last week in London, we launched a brand-new offer dedicated to data centers and artificial intelligence, the next great industrial frontier where reliable water, resilient energy and circular resource management will all be decisive. To our shareholders, and to our employees who together hold 9.4% of our capital and now stand as our largest reference shareholder group, my deepest thanks. You believed in this vision long before it became self-evident to the rest of the world. The new era is here, and Veolia is ready!

The Combined General Meeting of Veolia Environnement shareholders, held today at its administrative headquarters, under the chairmanship of its Chairman of the Board of Directors, Mr. Antoine Frérot, approved all of the resolutions submitted to it with a quorum of 77.04%. These resolutions relate in particular on: ➡️ the approval of the parent company financial statements and group consolidated financial statements for fiscal year 2025; ➡️ the setting of the dividend in cash for the fiscal year ended on December 31, 2025 at €1.50 per share. The shares will be traded ex-dividend as of May 11, 2026 and payable from May 13, 2026; ➡️ the renewal of the terms of office as Director of Mr. Antoine Frérot and Mrs. @E_Brachlianoff for a four-year period which will expire at the end of the General Shareholders’ Meeting on December 31, 2029. At the recommendation of the Nominations Committee, the Board of Directors reappointed Mr. Antoine Frérot as Chairman of the Board of Directors, it being stipulated that in 2028 he will reach the age limit for chairing the Board of Directors as defined in the Articles of Association. The Nominations Committee and the Board of Directors will, in 2026 and 2027, consider the succession plan for the Chairman of the Board of Directors. Furthermore, the Board of Directors confirmed Mrs. @E_Brachlianoff as Chief Executive Officer; ➡️the appointment of Mr. Jean-Christophe Taret as Director representing employee shareholders and Mrs. Sandra Cortese as a replacement for a four-year period which will expire at the end of the General Shareholders’ Meeting that will be called to approve the financial statements for the year ended December 31, 2029; ➡️ the information relating to the 2025 compensation of the Directors (excluding the Chairman of the Board of Directors and Chief Executive Officer); ➡️ the compensation policy in respect of fiscal year 2026 of the Chairman of the Board, the Chief Executive Officer and Directors; ➡️ the financial authorizations granted to the Board of Directors to increase the share capital by issuing shares and/or securities, and in particular those in the frame of the implementation of employee share ownership plans; ➡️ the renewal of the authorization granted to the Board of Directors to grant shares to corporate officers and employees of the Group and corporate officers of the Company.
