The legal threat of national merger review over *any* deal hurts innovation. The @EU_Commission must get rid of this as a matter of urgency.

6/ Bottom line: The @Commission’s 1-size-fits-all approach lacks edge. Targeting innovation capacity - not just "innovative companies" - would sharpen the 28th regime’s knife. @lugaricano’s direction is right; the cut needs precision.

5/ My preferred filter: SME+. Proof of SME status + a "plus" factor: VC/patents, Investment in tech-intensive sectors, High ratio of technical managers/engineers. This avoid type 2 errors with innovation focus.

1/ As ever, 99% agree with @lugaricano. The 1% divergence is this: "innovative" startups is not a very workable filter. The challenge is operationalizing the definition. Here’s why 👇

We propose a 7-question test for agencies and merging parties: What is the innovation goal? Which capabilities must be combined? Do the parties have them? What is the integration plan? Is implementation feasible? Are alternatives available? Could one firm achieve it alone?

Merger agencies (including the European Commission) are looking for ways to credit innovation benefits in merger control. The challenge is operational: How do you assess innovation potential without sacrificing legal administrability or economic rigor?
