$ONDS 🚨‼️ NEW: Ondas in an Acquisition Attack: In a Week and a Half, It Took Control of Four Weapons Manufacturers | Calcalist Just this week, the holding company, led by former Rafael executives, acquired the Israeli INDO Earth Moving to adapt heavy engineering equipment for combat zones, and the British Rotron Aerospace, which develops UAVs. Behind the acquisition spree stands an investor whose identity the company refuses to disclose. The aggressive acquisition campaign of the U.S.-registered holding company Ondas, backed by an investor whose identity is unknown, continues even amid a regional war in the Middle East. On Tuesday, the company reported that it acquired INDO Earth Moving, an Israeli company operating in the heavy engineering equipment field, for 140 million shekels. A day earlier, Ondas reported that it completed a deal to acquire Rotron Aerospace, a British company engaged in the development of unmanned aerial vehicles. In addition to gaining a foothold in the British market, Rotron may provide Ondas with access to tenders and projects of the British defense establishment and programs related to NATO procurement. In addition, last week Ondas acquired from the Pimi Fund, headed by Ishai Davidi, its share (50%) in the Israeli BIRD Aerosystems for more than 65 million dollars, at a company valuation of 133 million dollars. A few days earlier, it acquired the Israeli-American contracting company Mistral from businessman Eyal Banai for 175 million dollars in a stock deal. In January this year, it raised about a billion dollars from an investor whose details it does not reveal, and at the same time it is attempting to acquire Rafael’s subsidiaries, including the UAV company Aeronautics, the electro-optics systems company Controp, and mPrest, developer of the control and command units for the Iron Dome air defense system. An examination being conducted by the DECA in the MOD has been delaying for several months the advancement of the deal for Ondas to take control of mPrest due to its critical involvement in Rafael’s air defense system. Currently, Rafael is the largest shareholder in mPrest (43%), but Ondas is trying to acquire the shares from all other holders, including founder Natan Barak and OurCrowd fund, for about 100 million dollars, at a company valuation of more than 200 million dollars. Such a deal would leave Rafael as a minority shareholder in mPrest, and it is unclear at all what benefits, if any, it would gain from such a move. The defense establishment refuses to say whether the identity of the investor behind the capital driving Ondas’ aggressive acquisition campaign is known to them, and also does not reveal the status of the examination taking place at DECA and the decisions made so far on the matter. Security sources estimated in conversations with Calcalist that the prolongation of the examination at DECA, which is currently blocking the advancement of the deal for Ondas to take control of mPrest, indicates his position on the issue. At the helm of Ondas are senior figures formerly from the defense establishment and defense industries. The CEO of Ondas Israel is Brig. Gen. (res.) Oshri Lugassy, formerly Chief Engineering Officer in the IDF and Rafael’s deputy VP of sales in Israel. In the company’s advisory and management hive are Rafael’s CEO until about two years ago Yoav Har-Even, Dr. Irit Eden and Dr. Yehudit Hochman, formerly Rafael’s deputy VPs of R&D, and former chief of staff to Rafael chairman Yuval Steinitz, Efrat Lazri, who was recently appointed VP of Strategy at Ondas. Among Ondas’ executives is also Brig. Gen. Yaniv Rotem, formerly head of the R&D division at MAFAT (the Directorate of Defense Research & Development) in the Ministry of Defense. Recently, the manager of the land factory at Elta, Zvika Yarom, announced his resignation and move to Ondas’ ranks.
