#bids #bidstack #AIM #LSE Share register of Bidstack Group Plc and director holdings Yesterday, we sent these letters to the executive directors of Bidstack Group Plc (in administration) following advice from our legal team. When the company entered administration Draper was NOT a Member (named shareholder) of the company. The share register confirms this. Yet his publicly stated holding was 39,760,562 shares, held in his own name. Hau's publicly stated holding was 1,125,000 shares, in her own name. At the time of administration her holding as per the share register was only 125,000 shares. Draper and Hau needed quick access to £800k to purchase the assets of the company from the pre-pack administration. Where did these funds come from? We continue to follow our legal strategy under the advice of our legal team and will escalate this to the Financial Conduct Authority to investigate when appropriate. It is a criminal offence to deal in shares while in possession of inside information - such as an impending administration of a company.

#bidstack #bids The Bidstack Shareholders Alliance now has 373 members signed up. All of whom owned shares in Bidstack Group PLC at the point of administration. Together, we hold approximately 20% of the shares of the public company. We have been quietly going about our work. We haven’t gone anywhere. We have made substantial progress. Our legal teams continue the work necessary to bring our claim to court. It takes time to get everything sorted but rest assured, we are more determined than ever to see justice and a return of what is rightfully ours. The appallingly brazen manner in which the directors stole our company from us will not go unpunished, nor unsettled. When we said we wanted our company back, we meant it. Nothing has changed.

We are delighted to announce that we have now formally engaged London law firm Hausfeld & Co LLP (hausfeld.com) to advise on options available to the Bidstack Shareholders Alliance. For the moment, Hausfeld are engaged directly by one member of the BSA only. We needed to get things official quickly. It is much easier for one person to engage than to send out contracts to all members. The engagement contract explicitly states that Hausfeld can take on other shareholders as clients directly or via the Bidstack Shareholders Alliance as needed going forward. The exact wording of the engagement contract is: [The Member] as the representative of the Bidstack Shareholders Alliance (the “BSA”), and any other shareholders whom we subsequently may agree to join as our clients (collectively the “Client”)   We have commenced Phase One which is an investigatory phase to determine what form our case will take and against whom. Hausfeld are advising alongside a King’s Counsel and a leading firm of forensic accountants on valuation issues. This phase is for evidence gathering and case formulation only and no formal court proceedings will commence during Phase One. When we progress after Phase One we will need to contact all members of the BSA to get all paperwork sorted. We are up and running. We have momentum. Please publicise and retweet far and wide. We have now seen the Bidstack administrator’s official report. The pre-packed sale resulted in a total consideration of just £804,848 being received for all of the Company’s assets compared to an estimated £80,000 should the Company have been wound up. Anzu is Bidstack’s closest competitor and Anzu does not have an agreement with Electronic Arts (EA) and to the best of our knowledge has not developed a ‘Sports Rights Management platform’ as Bidstack has. Anzu raised $48m last summer in private equity funding (link below) and we are being told that the wind-up value of all of Bidstack’s assets - including 3 granted patents - is just £80k. They must think we were born yesterday. Also, we learn from the administrator’s report that VST Ltd was the purchaser and Draper owns 49% and Hau 35% of VST. Not a bad bit of business. Draper only owned 3% of Bidstack Group PLC and now has 49%. Hau owned literally less than 0.1% and now has 35%. Those were our shares, and we are determined to get them back. Doesn't seem like @dovetailgames think much of #Bidstack either does it? This almost sounds like Bidstack were paying them as a publisher to integrate the SDK - wonder if this was the case & its where all the money has gone! If this was the case I cant recall them informing us?

@CityAM The bit I find suspicious is their patent US11875033B1 - Touch-based occlusion for handheld devices patents.google.com/patent/US11875… this was never announced to the market and interestingly enough it was missing from Irdeto's Charge as creditor - was it concealed from them too? #Bidstack

Just been made aware of this. Can I ask @bidstack if I've understood this correctly...... The current Board of executives who ran the company, and by way of that management created a scenario where they could appoint administrators on 11th March 2024, have now, just 10 days later, bought the company and its assets from the administrators, assuming ownership of the majority of shares, and retaining the senior exec roles [and presumably salaries] they had previously, and wiping out all prior shareholders? If I've got that wrong, please do clarify. If I've got that right.......... the UK Insolvency system still in full GRG, BSU mode it seems.
