Now on my way back from great times at Bitcoin Amsterdam. The mood among bitcoins right now is great. Price is just noise. Build and flourish. It’s also interesting to see so much tradfi speaking at the event. We truly have manage to execute our ”regulatory capture” that DeRose and Junseth dreamed about back in the day. Update on BTC AB (@BitcoinTCAB, BTC.se). I wanted to share a few thoughts on our proposed Class A Preference Share. As you may have heard we have announced the Nordic’s first bitcoin-backed Class A Preference Share, subject to EGM approval. We plan a directed issue to institutional and other professional investors in Q4 2025, followed by a rights issue to all shareholders and a planned Spotlight listing during 2026. Indicative initial size 10 to 15 percent of the balance sheet, implying roughly 7.5 to 10x over-collateralization with a highly liquid asset. Target dividend 10 percent per year, paid monthly (SEK 12.00 per year per share, payable monthly) with an initial subscription price of SEK 120 and redemption price of SEK 120 per share. Certain board members and I have expressed interest to invest up to SEK 10 million in aggregate. We have been inspired by @Strategy and @saylor with their U.S. preferred program, which has shown strong investor interest and significant scale. Their multi-series approach illustrates how preferreds can broaden access to bitcoin treasury exposure for different investor needs. For BTC AB, the preference share is designed to support sustainable growth in bitcoin per share over time and bring capital onto the balance sheet without drawing on debt. In short, low risk with good upside for both share class owners. With the preference share, we serve two different investor profiles. Investors seeking bitcoin exposure, including those in trackers (ETPs, ETFs, ETCs, ETNs), can rotate into our listed Class B share to pursue more bitcoin per share over time instead of paying ongoing tracker fees. Income-oriented investors who prioritize an annual cash yield get a monthly payer in public markets. In short, we package bitcoin’s volatility for tradfi or offer a return profile measured in bitcoin for bitcoiners, two strong options for different types of investors. Dividend distributions on the Class A Preference Shares can be supported in several ways: premiums from future directed issues, issuance of convertible debt, secured borrowing against the Company’s BTC holdings, issuance of additional preference shares, yield earned on the Company’s assets, or, if necessary, sales of a portion of our bitcoin. In a stress scenario, dividends may be deferred; unpaid amounts would accrue and be paid when conditions allow.
