@MZunigaP That is wrong. The agencies don’t “clear” mergers. The waiting period expires without a challenge, which isn’t the same thing. And there is a history of challenging consummated mergers under Section 2, sometimes many years or decades later. Not so exceptional.

... but nevertheless it was totally exceptional (i.e., in cases of improper conduct of the parties during the review) to review a previously cleared merger. This will affect the credibility of the agency and the whole US investment climate. (15/15)

#Antitrust #Tech Last week @Meta filed a Motion for Summary Judgement (MSJ), seeking dismissal of the @FTC's 2020 “monopolization” lawsuit. Here at @LawEconCenter we read the whole thing, so you don’t have to. A 🧵:

Tailored antitrust compliance programs are more crucial than ever. Here's why: 1) economic downturns drive collusion, 2) DOJ prosecutions show size doesn't matter, 3) aggressive enforcement agenda. #law360 #antitrust lnkd.in/gg-RHmEk

Paper here. Bad antitrust rules (aggressive breakups, destroying network effects, returning to a per se rule for maximum RPM; others) that reduce output in the product market also reduce the number of jobs; welfare effects depend on labor market power. papers.ssrn.com/sol3/papers.cf…
José Azar@joseazar

@Sherman1890 @Econ_Marshall @brian_callaci In classical oligopsony, a merger (or common ownership) reduces wages by reducing employment and going down the labor supply. But in a generalized oligopsony model in which employers also have a hiring effort margin, a merger can reduce wages an increase employment.

Folks, there’s an important bellwether still uncalled: Denver Ordinance 307, which would shift sidewalk maintenance responsibilities away from property owners and to the city. For leads against 53-47, so Denverites must have been reading! papers.ssrn.com/sol3/papers.cf…

@michaelcpollack Denver sidewalk snow maintenance is atrocious and dangerous. Much better in Littleton, though.

Just a friendly reminder to fellow obsessives: There is no reason to be glued to election results tonight. We likely won’t know anything firm before morning anyway. And even if we do, it’ll still be there to learn in the morning. Mute the phone. Watch a movie. Have a drink.

Why the hell isn't Election Day a national holiday? I can't think of a more important day to give people off.

Snow just hits different in Colorado. That’s the correct usage for “hits” now, right? Seeking to stay current.

@buzztronics Of course you want another coffee. We all do. It’s 2022. Maybe you don’t need it, maybe it won’t solve anything, but who’s to say?

Do I actually want another coffee, or am I just thirsty and I've conditioned my body to think that's the only form of liquid it can have?

Excited to launch my bimonthly competition column with #law360. The FTC's recent pesticide lawsuit is essential reading for companies that leverage loyalty programs and exclusive deals, especially in the agriculture and pharma sectors. lnkd.in/giQj8CVF
