Rivian has announced a public offering of 75 million shares of common stock, worth about $1.5 billion at the current stock price, resulting in about 5% dilution for existing shareholders. If the underwriters exercise the full 11.25 million-share option, total new shares would be 86.25 million ($1.75 billion at current stock price), resulting in 6% dilution. Rivian expects to use the net proceeds from the offering for general corporate purposes, including funding of certain equity contributions pursuant to that certain Amended and Restated Loan Arrangement and Reimbursement and Sponsor Support Agreement with the U.S. Department of Energy (the “DOE Loan”).
