Part-I-Cutting through the complexities of levy of GST in a Joint Development Agreement-Let’s start with a story After the series of posts on the “Concept of Mining Lease, Royalty and Levy of GST on Royalty”, we now begin a new series on another subject which, whenever discussed, appears to be inherently complex and surrounded by multiple apprehensions and unanswered questions. This is an effort to navigate through the subject with all the nuances surrounding it and let us, together attempt to cut through the complexities of the subject and unravel it together. 👉 The Characters of the Story To begin with, this part starts with a story—a story meant to explain the general scenario of a Joint Development Agreement (JDA). While real‑life situations may be complex, everything starts with something. This post is about that “something”, and not about everything. The story revolves around three persons: Mr. Developer, Mr. Plot, and Mr. Government. 1️⃣ Mr. Developer is engaged in the business of conceptualising and constructing residential as well as commercial real estate projects. 2️⃣ Mr. Plot is the owner of land. 3️⃣ Mr. Government / Governmental Authority is the authority responsible for granting approvals such as sanctioned plans, building permissions, Fire NOC, FSI, additional FSI, and Transfer of Development Rights (TDR). At times Mr. Government operates in a dual capacity—in its sovereign role and, at times, as a Development Authority. 👉 Typical Transactions in a Joint Development Framework 1️⃣ Joint Development Agreement between Mr. Developer and Mr. Plot Mr. Developer enters into a Joint Development Agreement with Mr. Plot for conceptualising and constructing apartments, wherein: -Land is provided by Mr. Plot, and -Construction services are provided by Mr. Developer. The consideration between Mr. Developer and Mr. Plot may be structured wholly or partly, in any combination of the following: -Revenue sharing basis -Area Sharing Basis -Consideration being paid in cash In such arrangements, Mr. Government / Governmental Authority functions in its regulatory capacity by approving plans, granting statutory permissions, and allowing additional FSI or development rights, often against payment of consideration in cash. 2️⃣ Development rights granted by Mr Government to Mr Developer In certain cases, Mr. Developer may enter into an agreement directly with Mr. Government / Governmental Authority, wherein: -Development rights are granted to Mr. Developer for construction on land owned by the Government; or -Development rights are granted in consideration of surrender of land owned by Mr. Developer to the Government.
