On va rétablir quelques vérités psk à entendre les gens t'as l'impression que c'est tout noir ou tout blanc. NON, faire une LLC n'est pas illégal MAIS, y a des notions super importantes à comprendre comme celle de résidence fiscal ou d'établissement stable. On va prendre le cas de l'ecom et j'vais parler aussi d'agence après parce que c'est les deux milieux que je connais bien. En ecom en France, y a 2 status qui sont viables : - SARL et SAS. Surtout la SAS (ou SASU, c'est pareil) - La micro entreprise coute beaucoup trop cher et n'est pas avantageuse dutout une fois que vous dépassez les seuils de TVA. Donc, une fois que ce pallier est dépassé y a une question qui se pose : - Je fais quoi ? La réponse courte, c'est SAS ou SASU dans l'objectif de rester en France. Que ce soit une LLC US, LTD UK, Limited HK, FZCO UAE, LLC UAE ou quoique ce soit, si vous restez en France, ça n'a AUCUN avantage. Vous êtes résident fiscal français Vos clients sont en France (possiblement) Par conséquent, la société doit être déclaré à la France et sera imposé comme une société Française Et vous subirez la double imposition, sauf si y a des accords entre la France et l'autre pays. C'est PARTOUT pareil. Si vous voulez réellement optimisez vos revenus (je parle même pas d'impots sur les sociétés mais bien de revenus perso) Quittez la France Aller mettre votre résidence fiscale ailleurs élargissez vos marchés et ne vendez pas qu'en France A partir de là, vous pouvez déclarer votre LLC, LLP ou autre dans votre pays d'accueil pour que cette société soit reconnu légalement dans votre nouveau pays et vous êtes clean. Étant aux UAE, j'peux vous le dire, j'ai 3 sociétés dont 2 aux UAE et une aux USA La société aux USA (llc) est aussi enregistré aux registres des sociétés des Émirats et je paye des impots dessus aux émirats. ÉVIDEMMENT, c'est infiniment moins qu'en France (9% sur le benefice), mais l'état sait que j'ai cette société. Rien n'est caché. Ce que vous faites pour beaucoup, c'est simplement illégal, parce que vous ne faites pas la double déclaration de votre société. En plus du fait de ne pas payer votre TVA. Même aux US, vous devez la payer. Que vous vendez en France, en Allemagne, au Pakistan ou aux USA. Si y a bien une taxe avec lequelle il ne faut pas jouer, c'est celle là. et évidemment que c'est facile d'être rentable en ecom quand on ne paye pas sa TVA, on se rajoute magiquement 20% de benefice (en France) mais sah, pensez au futur. Vous pouvez vous faire rattraper pour ça pendant jusqu'à 6 ans après les faits. J'ouvre un dernier chapitre, après j'ai un avion à attraper Vous ne POUVEZ PAS être 100% dans les règles en étant en Thailande, à Bali, au Vietnam ou autre pays dans le genre. Avoir un visa étudiant ne légitime pas votre business sur place. La règle est la même. Une LLC US ne vous permet pas de vivre à l'autre bout du monde. Y a des mecs qui essaient de poser des billes en immobilier à Bali qui se font rattraper pour des conneries comme ça. L'état arrive et leurs demande d'où ils sortent l'argent. Si vous voulez quitter la France de façon 100% clean, y a pas 10 000 pays avantageux fiscalement et doux à vivre en étant dans les règles : - Andore - Suisse (à ma connaissance en tt cas) - UAE - Panama (mais bon) - y en a évidemment d'autres Mais tout ces pays ont leurs inconvéniants aussi. C'est pas tout rose partout. Et surtout, si vous n'avez QUE des clients français, l'état français peut requalifier votre business comme étant une entreprise française, et vous allez méchamment raquer quand ça arrivera. L'oubliez pas. bon aller j'ai un avion à prendre, bonne journée à tous et entourer vous d'un avocat fiscaliste solide et d'un bon expert comptable
