$AMC today announced that two of its national flagship locations, AMC Empire 25 and AMC Lincoln Square 13 in New York City, have officially completed seven-month, multi-million dollar seating upgrades. In all, more than 4,000 AMC Club Rockers combined, as well as new flooring, were installed in all traditional, non-Premium Large Format auditoriums at the two locations. AMC Chairman and CEO Adam Aron commented: “The introduction of the new AMC Club Rocker seat, now at AMC Lincoln Square 13 and AMC Empire 25 in Manhattan, along with AMC Burbank 16 in the Los Angeles market, has led to dramatically improved guest satisfaction scores. It was only a few weeks ago that out of the nearly 540 theaters in the entire United States under the AMC brand, our three highest grossing theaters were Burbank, Lincoln Square, and Empire – the very three theaters where we installed these new luxurious, leathery rocking seats. In the FUD Busting Department, I keep reading on my X/Twitter feed many comments that I should buy more AMC shares to show my confidence in the Company. It happens to be against U.S. securities laws for me to do so right now. It is important that you understand these four points. 1. I currently own outright 975,310 AMC shares and at target vesting have an economic interest in 3,640,397 more AMC shares. So, over 4.6 million AMC shares in total. And more than any other individual AMC shareholder on the entire planet of whom I am aware. That already is a lot of confidence. 2. I have not sold even one AMC share in more than three years. I ride with you. 3. I lead AMC fully knowing that more than 2/3 of my total “target” compensation is in AMC stock rather than in cash. I am not “given” these shares. I work hard for these shares. If I did not value AMC stock, I could choose to work elsewhere, with more of my compensation coming in cash rather than in AMC stock. 4. And most importantly, for quite some time now, I personally have been in possession of what is known as MNPI (“material non-public information”). When that is the case, it is patently against U.S. law for a CEO,of a publicly traded company to buy its stock. Illegal. Period. No ifs, ands or buts.

As a large AMC shareholder, I too have felt the anguish caused by our falling share price in recent years. And therefore, I understand why you would be distraught if my salary was $23 million per year. Except that it isn’t. Here are the facts. As of March 2021, my salary was $1.5 million per annum. In each of the past four years, I voluntarily recommended to the AMC Board that I not take a raise in my salary. My salary today in March of 2025 is still $1.5 million per year. I also am entitled to cash bonuses that are 100% formulaic, and based on the company’s operating performance. When you add together my cash salary and my cash bonuses, the total has been far less than one-third of my publicly reported total compensation. The bulk of my total compensation is in AMC stock. We report the amounts of that stock based on rules governing public company proxies. But as some of you may know, I have not sold even 1 AMC share in more than three years and in those years the AMC share price has fallen dramatically. So the actual value of my AMC stock today is but a small fraction of the amounts that were previously reported by rule. My realized total compensation in the past 36 months has been considerably less than half of the public amounts of which you read. I am not asking for any pity here. I get that many of you have felt pain in the decline in the price of your shares (as have I), and I understand certainly that some will think I still am earning too much. But you deserve to know the facts. My annual salary is not $23 million. It is not even 7% of $23 million. I have not taken an increase in salary in four years. Over the past 36 months, my cash compensation is less than 1/3 of what you believe my compensation to be, and my total realized compensation is less than 1/2 of what you believe it to be. Those are the facts.

Here are the facts that some of you want to ignore or refuse to accept. The industry-wide domestic box office in movie theatres was over $11 billion five years in a row pre-Covid. It was over $10 billion years eleven years in a row pre-Covid. In 2024, four long and trying years after COVID, it was still only about $8.8 billion, down by more than 20% from full year 2019 levels (the last pre-Covid year). When a high fixed cost industry like the movie theatre industry loses 20% of its revenues, its profits and cash balances plummet by far more. Those are not AMC numbers, those are industry-wide numbers. Some of you want to blame AMC results on market manipulation, management incompetence or other conspiratorial notions. The reality instead is that our industry has not fully recovered yet. It has taken far longer for movies to come back than most of us would have expected or hoped. As a result, many of our major competitors had to file for bankruptcy. Not AMC. We navigated these uncharted waters with considerable skill. But finally, here’s the bright side of all this. As we have been saying for quite some time, after a slow start to 2025, the box office in the U.S. looks like it will show considerable growth. And the 2026 box office looks to be.even bigger still. There is real operational leverage in our business. With revenues static, profits are greatly stressed. But with revenues rising, the profits rise even more so. We are optimistic that a rising box office over the next year or two will be a great boon for AMC. That does not solve all our issues, though, as it is not all wine and roses. There are challenges aplenty that we will have to deal with, and we are still going to need to thread the managerial needle perfectly going forward. We could succeed brilliantly or we could stumble. Only time will tell. But our heads are very much in the game, and we are keenly focused on doing all we can to achieve success. — Adam Aron
