Swara Baby, a Brainbees Solutions-backed manufacturer of disposable hygiene products, has filed its Draft Red Herring Prospectus with the Securities and Exchange Board of India. The proposed IPO comprises a fresh issue of equity shares aggregating up to INR 500 crore, along with an offer for sale of equity shares aggregating up to INR 500 crore by existing shareholders, including Anadya Bon Merchari and Brainbees Solutions Limited. The amendments are expected to bring greater certainty to real estate insolvency proceedings by reducing disputes over creditor priority and facilitating smoother resolution of distressed projects. We are pleased to share our latest client alert, 'Cracking the Code II: The New Central Labour Rules at a Glance', which examines the Central Rules notified under the four Labour Codes by the Ministry of Labour and Employment on May 8, 2026. The alert analyses the key regulatory changes introduced by the new rules across the Code on Wages, the Code on Social Security, the Industrial Relations Code and the Occupational Safety, Health and Working Conditions Code, vis-à-vis their erstwhile counterparts, and the practical and compliance implications thereof for employers. While these rules presently bind establishments for which the Central Government is the "appropriate government" (such as railways, mines, banking, insurance, telecommunications and air transport), certain provisions, including floor wages, the Employees' Provident Fund and Employees' State Insurance framework, national occupational safety standards and gig and platform worker schemes, operate nationwide and to that extent, the rules are applicable to all such establishments, for which State Government is the appropriate government. In particular, the alert traces significant shifts such as the extension of principal employer liability to the wages and bonus of contractual employees, the stipulation of qualifying period for gratuity entitlement of fixed-term employees and the attendant question of whether subordinate legislation may validly impose conditions absent from the parent statute, the new Central framework for recognition of negotiating unions, advance payment of construction cess on certified self-assessment, and the mandate for inclusive welfare infrastructure for transgender persons and persons with disabilities.
