@commbankerguy If shareholders have high cash flow wants to/ needs and might sell the bank someday so the S corp step up in basis is valuable, then S corp is the route. The analysis just runs on a spectrum between those factors.

@commbankerguy If you have an ownership group willing to reinvest 100% of earnings and intends to pass their stock through their estate and receive a step up in basis at death, C corp all day long.

You’re a closely held less than a $1B bank with 20 years of management runway. Fork in the road: 1) Keep Sub S status, consolidate ownership to management and Board with buy backs over time. 2) Assuming C Corp tax rate gets lowered, Go C Corp and scale it up bigger Which do you choose??

If you live in a smaller community, would you prefer a branch of a Too Big to Fail bank focused on Wall Street, or a locally owned and managed tax-paying, wealth-creating, employer invested in the success of your Main Street? That was an option before the Great Financial Crisis of 2008, when regulatory bodies and lawmakers responded to the perilous behavior of giant financial institutions with an incredibly inappropriate reaction: They slammed the door on the formation of new community banks. The result? The systemically dangerous Too Big to Fail got bigger and riskier, while community banks are devoured by grotesquely misnamed “not-for-profit” credit unions aided by favorable tax and accounting treatment. It is past time to lower the extremely high capital requirement for de novo charters. America needs MORE community banks, not fewer.

@zachperret I’d be more than happy to. Have worked with a number of fintechs interested in learning the banking space, including some who we’ve gone on to assist in acquiring banks.

I want to better understand how to analyze bank financials. Do any friends know folks who worked in research or FIG that I could hire to tutor me for an hour or two each week?
