Delaware loses another multi-billion-dollar company, as Liberty Media Corporation has filed a proxy statement asking its stockholders to approve changing its incorporation from Delaware to Nevada.

At this point, I should probably warn other members of the practice group that I'm going to try to recruit them to speak to my business law class next semester when we're covering opinions they wrote.

I'm joining Wilson Sonsini Goodrich & Rosati as Senior Of Counsel to help provide advice about Nevada law to the firms' clients. Nevada is playing an increasingly significant role in the corporate ecosystem. businesswire.com/news/home/2026…

Pershing Square's IPO filing is out, with the IPO corporation being incorporated in *Nevada* (to be converted from the existing Delaware LP). This is another situation where a few years ago they would have automatically chosen Delaware corporation. H/T @benpedwards

Sorry to have missed this, @chad_mizelle. Let's see if we can flesh out what you mean. 1. Candidate A and Candidate B are identical, with one exception: Candidate A commits to enforce the prosecutorial agenda of whoever is president. Candidate B commits to enforce Trump's prosecutorial agenda but says he won't enforce the agenda of a Democratic president. Who earns your recommendation? 2. If someone chose to vote for Biden in 2020 and Harris in 2024 and remains content to have done so, is that person excluded from your category of "patriots"? 3. Do you believe that the vesting of executive power in the president renders civil-service laws unconstitutional?
Chad Mizelle@chad_mizelle

@EdWhelanEPPC — The President sets enforcement priorities; AUSAs execute them. If someone isn’t enthusiastic about prosecuting Trump’s anti-crime agenda, why would DOJ hire them to do the job? OPM’s merit plan asks candidates how they’d implement the President’s EOs. This is alignment with the mission—not a loyalty oath. Reread Article II. Executive power is vested in one person: President Trump. DOJ hires people who want to wield the President’s power, not sabotage it. DMs remain open for patriots who get it.

“A judge may contribute financially to legal service associations that provide counsel for the poor. A judge need not recuse merely because lawyers who accept appointments by such associations are also counsel of record in cases before that judge.” A federal appellate judge informs me that's the official advice to federal judges (set forth in a nonpublic Compendium of Selected Opinions, § 4.2-3(g)).

UPDATE: Judge Schiltz statement to @FoxNews: “I have donated for many years to the Immigrant Law Center of Minnesota.  I have also donated for many years to Mid-Minnesota Legal Aid.  I believe that poor people should be able to get legal representation.”

One interesting aspect of the Delaware Supreme Court decision in the Musk compensation case is that it was issued "per curiam"--in other words, unsigned. This is unusual in the Delaware Supreme Court, with only a handful issued per year. Most of the per curiam decisions 1/

Here, @Lane_Kiffin made the right move. He has to recruit. He has to win player trust. This signals to his former team—and to recruits—that he wanted to finish out with them. The backlash doesn’t matter. It may even help him recruit with bigger name recognition.

@ProfRobAnderson Similar issues anytime I am in a grocery or drugstore and you have to summon an employee to extract a product from behind locked glass. It shouldn’t be this hard to buy formula for a baby.

I’m in a tire shop and half the people don’t have the keys to these locking lugs, so they spend like an hour extra labor extracting them. We don’t really think enough about *all* the costs of allowing so much crime.

Judge Posner's 2003 book review of a Justice Douglas biography, "Wild Bill," caused a stir in the legal nerd world back then. It's not your typical judge-writing-about-a-Justice thing, to put it mildly. If you've never read it, you can do so here: web.archive.org/web/2003030218…
