Microsoft just admitted everything. Not in words. In actions. October 28, 2025. Microsoft quietly restructured its entire OpenAI partnership. The financial press called it “strengthening.” The documents tell a different story. What Microsoft surrendered: Their stake. Diluted from 32.5% to 27%. Their compute monopoly. Right of first refusal over OpenAI’s infrastructure: gone. Their AGI control. The definition of artificial general intelligence now sits with an independent panel, not OpenAI executives. Their board access. Observer seat removed July 2024. What Microsoft locked in before surrendering: $250 billion in guaranteed Azure revenue through 2032. This is what a controlled retreat looks like. Eleven months ago, Elon Musk filed a lawsuit calling this partnership a “de facto merger” designed to evade antitrust review. He called it a “market-paralyzing gorgon.” OpenAI called the claims “baseless.” Microsoft said nothing. Then Microsoft restructured to eliminate every structural element Musk challenged. The market noticed. OpenAI valuation today: $500 billion. xAI valuation today: $230 billion, with $15 billion closing next month. The gap between them has collapsed 18% since March. Nvidia just committed $2 billion to xAI. A Texas judge ruled two weeks ago that Musk’s antitrust case against OpenAI can proceed. A California trial is set for March 2026. The FTC probe continues. Here is the truth no press release will tell you: Corporations do not voluntarily dismantle structures they believe they can defend. Microsoft dismantled theirs. The most important question in artificial intelligence is no longer who will build AGI first. It is why the company closest to building it just quietly admitted its own partnership was legally indefensible. The answer is in the restructuring.
