Introducing Constitutional Governance: VC-grade holder protections for every Crafts ICO. Governance actions can be proposed by founders or token holders, but only token holders can vote. Each action is bound by predefined limits to prevent misuse. Governance Actions Available From Month Two Onward: One-Time Treasury Release The company can request additional capital beyond its monthly stream for a specific need, such as token buybacks or strategic growth expenses. Token holders vote on whether to release the requested amount. Liquidation (2 Steps) Step 1: Token holders can vote to pause the monthly capital stream and trigger a 30-day cure period, giving the founder time to address the concerns. Step 2: If the concerns are not resolved, token holders can vote again to wind down the SPV. Any remaining treasury is distributed pro-rata to token holders, and the SAFE adjusts to reflect the capital that was actually streamed to the company. Secondary Raise If the company wants to raise more capital through another liquid token issuance that would dilute existing holders, token holders must approve it first. Freeze Mint Token holders can permanently shut off the ability to issue new tokens. Once minting is frozen, no future secondary liquid raise can happen and the token supply is locked. Exit Distribution If the company is acquired or goes public, the SAFE converts according to its terms. The resulting proceeds flow to the SPV, and token holders vote on how those exit proceeds should be handled. Governance Change Token holders can adjust certain governance parameters within predefined ranges, allowing the system to evolve without opening the door to misuse.
