🚀 Today we’re coming out of stealth and unveiling @ShiplightAI, the most reliable AI-native testing platform that scales E2E test coverage with near-zero maintenance. For years, software teams have accepted a painful tradeoff: Move fast and risk breaking production, or slow down under the weight of brittle tests and endless QA maintenance. AI-assisted coding makes this gap even wider. Modern teams ship faster than ever. Products change daily. Yet testing is still stuck in a world of scripts, manual upkeep, and fragile workflows that collapse the moment your UI changes, making testing the new bottleneck. Feng and I built @ShiplightAI to make testing a force multiplier for modern software teams. As AI accelerates coding, autonomous, reliable testing closes the loop from code to confident releases. Our goal is simple but ambitious: Make test coverage effortless, and teams can ship with confidence anytime. This mission is personal for us. Throughout our careers, we’ve always been obsessed with building high-quality software that lasts. We’re already trusted by some of the most innovative, fast-moving teams. Seeing Shiplight earn their trust and transform their release cycles is the strongest signal that we’re building something real. We’re grateful to be backed by Pear VC (Shravan Reddy, Mar Hershenson) and Embedding VC (Roger Luo), along with incredible angels like Oliver Jung. We’re just getting started, and we can’t wait to partner with more teams who are building fast and care deeply about quality. 👉 Book a demo: shiplight.ai/demo #AI #SoftwareEngineering #QAAutomation #ShiplightAI #AgenticAI

It’s official. We’ve raised $14m led by @OpenAI Startup Fund to bring AI to Excel. Endex is the first AI agent to live inside Excel. For the past year, we've been working with financial firms. Today we’re releasing it to the world. Our capacity is limited; comment below for an early invite 🧵

@MrPurple_DJ @BoringBiz_ They also make you less competitive in an auction setting, and been seeing them less due to the competitive nature of processes these days. PE firms realize this hence are structuring deals more as minority / majority investments to align interest instead of relying on earnouts

@BoringBiz_ Earn outs can be very tricky and often end up being a headache down the line that ends up being litigated. I try to avoid them at all costs, there are other ways to bridge a valuation gap.

I spent some time mapping out the semiconductor landscape: It’s fascinating to see how the industry has consolidated into oligopolies or monopolies across many verticals, especially on the leading edge. This consolidation has created some of the deepest moats in technology. The semicap space provides a particularly interesting example of consolidation. In each vertical in the semicap space, 1-3 companies compete. $ASML $AMAT $LRCX $TOELY $KLAC $ASMIY all lead in specific verticals. This is just one segment of the market. We see oligopolies across EDA software, some end-chip markets, GPUs, and CPUs. Adding on strong margins, fundamental growth, and long-term exposure to tech trends…the industry continues to be one of the most attractive in the markets (over the long-term, valuation is company-dependent).

@brendan_snow Look up section 382 of the IRC, it limits the amount of NOLs you can use after a CoC which definitely impacts quite a bit the NPV of the NOLs. I think ~50% is probably where it should land if 100% of the max value is used every year and you can negotiate based on that

Any good resources out there on NOL valuation? Suppose you buy a shell entity with $10m of NOLs and then can deploy those inside a profitable asset, what would fair value be for the first (shell) asset? PV of the sheltered taxes? $10m even?

@andrew__rea Didn’t see anyone mention @staxpayments, they’re formerly known as Fattmerchant. Although I think charging a subscription while collecting interchange is probably a regulatory gray zone? You gotta make that clear before launching a product IMO

@JerryCap This mini investor day was really well thought out. I like the $256m RBO(insourcing), it was a bold move from Jared, now he has less reliance on third party ISOs, paying less residual fees ->higher margins, and with SkyTab he owns the dist of own hardware. Impressive!

@S_curvecap I got a new pup last year and had the same problem: supervised dog daycare for socialization, then transitioning to dog parks have been very helpful at expending all that energy.

@sytaylor GPN/NVEI both have a guaranteed real time ACH product, mostly for their gambling merchants. Just by offering speed and guarantee, you can charge good pricing and it's definitely a big money maker
