PE firms realize this hence are structuring deals more as minority / majority investments to align interest instead of relying on earnouts

@BoringBiz_ Earn outs can be very tricky and often end up being a headache down the line that ends up being litigated.
I try to avoid them at all costs, there are other ways to bridge a valuation gap.

I spent some time mapping out the semiconductor landscape:
It’s fascinating to see how the industry has consolidated into oligopolies or monopolies across many verticals, especially on the leading edge.
This consolidation has created some of the deepest moats in technology.
The semicap space provides a particularly interesting example of consolidation. In each vertical in the semicap space, 1-3 companies compete.
$ASML $AMAT $LRCX $TOELY $KLAC $ASMIY all lead in specific verticals.
This is just one segment of the market. We see oligopolies across EDA software, some end-chip markets, GPUs, and CPUs.
Adding on strong margins, fundamental growth, and long-term exposure to tech trends…the industry continues to be one of the most attractive in the markets (over the long-term, valuation is company-dependent).

@brendan_snow Look up section 382 of the IRC, it limits the amount of NOLs you can use after a CoC which definitely impacts quite a bit the NPV of the NOLs. I think ~50% is probably where it should land if 100% of the max value is used every year and you can negotiate based on that

@andrew__rea Didn’t see anyone mention @staxpayments, they’re formerly known as Fattmerchant. Although I think charging a subscription while collecting interchange is probably a regulatory gray zone? You gotta make that clear before launching a product IMO

@JerryCap This mini investor day was really well thought out. I like the $256m RBO(insourcing), it was a bold move from Jared, now he has less reliance on third party ISOs, paying less residual fees ->higher margins, and with SkyTab he owns the dist of own hardware. Impressive!
