When we see elements such as warrants with a Fundamental Transaction clause cash settlement based on the Black-Scholes model the suspension of the ATM program and a 60 day restriction on issuing new shares these are not typically the terms of a standard biotech financing. Structures like this are often used when there is the possibility of a near term strategic event such as an acquisition or a major partnership because the investor wants to ensure they benefit if a change of control occurs. Therefore the issue is not simply that a large investor entered the deal rather the financing structure itself may indicate the potential for an upcoming strategic event.
