Everyone talks about buying land. Few talk about buying a lawsuit. One of the most expensive assumptions in Nigerian real estate is this "Once I have a Deed of Assignment, I'm safe." This is not necessarily true. A Deed of Assignment records a transfer of interest. It does not automatically guarantee that the interest transferred is valid, marketable, or free from defects. I've seen transactions where: • the assignor had no transferable interest; • the land was already subject to litigation; • government acquisition affected the property; • family consent was defective; • the same property had been assigned to multiple purchasers. The document was perfectly drafted. The title was the problem. The first question experienced property lawyers ask is rarely, "Where is the Deed of Assignment?" It's usually "What exactly is being assigned?" Tomorrow, I’ll discuss why due diligence often matters more than the document itself.
