$NPC - Phase 2: The IP & Trademark DAO Era Holders, It’s time to start Phase 2. We originally planned to launch this phase once global coverage was in place, but given the current price environment and the urgency to build long-term value, we’re choosing to move now. This isn’t us changing direction. It’s us accelerating what we always intended to build. $NPC was born as a meme created by an anonymous user. What made it real wasn’t a team, a roadmap, or a corporation. It was the community, the people who gave NPC meaning in the first place. Now we take the next step: giving NPC ownership, protection, and direction, not in the hands of a single person, but in the hands of the holders. -An EU legal wrapper to hold the brand We are creating an EU-based non-profit legal entity designed to act as the guardian of the NPC IP and trademark. The IP and the trademark will be transferred to this entity. Its purpose is not to “control NPC”, but to protect NPC and execute community decisions. This structure gives the project legal continuity: defending the brand, discouraging copycats, enabling official licensing, merch, and media deals, and ensuring the IP has a real legal holder that can enforce rights if needed. Most importantly, it’s being designed so that the power of the IP and trademark ultimately lives in the decisions of the community. -Fees become a community treasury NPC fees, including PumpFun fee flows and any project fee streams we define, will be directed into an on-chain treasury. NPC has already proven it can mobilize resources. Over $37,000 was raised in the first days of existence and used for buybacks and marketing. Now we evolve from team-decided spending to holder-decided spending. From Phase 2 onward, the goal is simple: 100% of the fees are deployed based on holder governance with absolute transparency. Not promises. Not “trust me.” Votes, execution, on-chain proof. -DAO governance every 7 days Every 7 days we run a governance cycle that defines the direction of NPC for the next week. All community proposals will appear in the governance panel. Holders vote. Winning decisions become the mandate. NPC is not “Non-Playable Coin.” NPC is Non-Playable Character, and in Phase 2 the character becomes a living organism shaped by its holders. -AI support without taking power away We will use an AI system to support governance, not replace it. The AI does not filter, hide, or block community proposals. Its only job is to keep momentum. If a cycle lacks enough strong proposals, the AI will publish up to three complementary proposals so the DAO never goes quiet. AI proposals will be clearly labeled as AI-generated and will follow the exact same voting rules as everything else. If holders don’t want them, they won’t pass. -Light moderation for safety, not control To keep NPC strong, compliant, and resistant to sabotage, every proposal will go through a light moderation layer before entering a vote. This moderation is not about censoring ideas or centralizing power. It exists to prevent illegal activity and to protect the project from attacks. Proposals that request or facilitate illegal actions will not be listed for voting. Proposals designed to intentionally harm NPC through malicious spending, governance griefing, sabotage, or manipulation attempts will be blocked. This is a security and compliance shield and it will be applied equally to everyone. -Voting power with anti-monopoly protections Voting power will reflect holdings, but governance cannot become a whale monopoly. Even if one wallet holds 5% and another holds 0.2%, both must have meaningful participation and visibility. We will implement anti-dominance safeguards, optional delegation so smaller holders can unite influence without selling, and proposal mechanics that reward broad support instead of backroom control. Every execution will be transparent and trackable. -What the treasury can fund Anything holders believe produces real return and long-term value for NPC. Press and media placements when strategically worth it. Merch drops and licensing. Exchange listings when the ROI makes sense. Growth campaigns, creator partnerships, and community incentives. Dev bounties, tools, dashboards, bots, and ecosystem utilities. Security audits and protective measures. Buybacks or strategic liquidity actions, only if voted. If it strengthens the brand, expands reach, or builds lasting infrastructure, it belongs in governance. -Absolute transparency in execution Phase 2 runs on one rule: no spending without traceability. Every execution will be accompanied by on-chain transaction references and a public summary of what was approved, why it was approved, and what success looks like. Where possible, receipts or verifiable proof of delivery will be provided. Absolute transparency in fee usage is non-negotiable. -Launch timeline The governance platform and the Phase 2 system will go live within the next 7 days. NPC DAO BETA goes live later today. During this early phase, you’ll be able to start creating the first proposals on how treasury funds should be used. This is community governance in practice: the holders decide. NPC’s IP are no longer “owned by a team” they belong to the community. The PumpFun fee flow is treated as a shared resource, so you can propose ideas, discuss them, and let holders vote on what gets executed. To keep things frictionless during BETA, you will NOT need to connect your wallet to vote yet. Just paste your Solana wallet address to participate (wallet connection will be introduced after BETA once everything is fully finalized). Treasury figures will be updated every 24h on the DAO page, so everyone can track funds transparently and vote accordingly.
