3 Most of all, the clients who'll buy it
Great clients make great agencies, not the reverse

KPIs come from objectives
Start with biz. objectives: targets for sales, profit, share etc.
Then set mktg objectives: customer nos, weight of purchase, distribution etc.
Ask if mktg objectives meet business objectives
Only then set comms objectives
