A message from the executive chairman of Hyperscale Data, Inc $GPUS
For those claiming our recently filed 8-K disclosed a fake contract, let me explain how public companies actually work.
An 8-K is a federal securities filing. Before it is filed, it is reviewed by experienced securities counsel. We have a General Counsel, a Deputy General Counsel, and an Associate General Counsel, each with decades of legal experience, as well as outside securities counsel. No one involved would risk their professional reputation, bar license, or potential civil and criminal liability by approving a false disclosure.
I’ve also seen criticism that we did not identify the California-based neocloud provider by name. The answer is simple: the customer requested confidentiality. Commercial counterparties often require confidentiality provisions, and the federal securities laws provide mechanisms that, in appropriate circumstances, permit companies to omit certain competitively sensitive information from public filings.
You are free to debate our strategy, our execution, or our valuation. But claiming we fabricated a material agreement filed with the SEC reflects a misunderstanding of both securities law and how public company governance works.
We stand behind our disclosures. I will continue defending this company, our employees, and our shareholders against misinformation, and when false statements cross the line, we will evaluate all available legal remedies.
