Math is suggesting other way around Share Swap Ratio: At current market prices, for every nine shares of REC, eight shares of PFC will be offered to REC shareholders. #REC : 355x9= 3195 #PFC : 414x8= 3312 Buying REC at CMP will be better arbitrage opportunity.

#Cleanscience : promoter stake selling ✅ What happened Prior to the event, promoter/shareholding group held ~ 74.97% of the company as of 30 June 2025. In August 2025, press reports indicated that promoters (led by Ashok Ramnarayan Boob and Krishnakumar Ramnarayan Boob families) planned to dilute/sell up to ~24% stake (~2.55 crore shares) via a block deal, at a floor price of ~₹1,030/share (≈13% discount to market) for ~₹2,626 crore. There were stories of “punching error” in block trade volumes, raising short-term volatility. 📌 Why it matters Control & alignment: A drop from ~75% to ~51% means promoter influence remains strong but is significantly reduced. This may affect how tightly aligned management/promoters are with minority shareholders. Signal to market: Promoter stake sale often signals that promoters believe valuations are high or they want liquidity/estate planning. While they cited “family estate planning” as reason. Supply pressure / valuation risk: A large block deal at discount may cause downward pressure on stock price (which we saw: stock fell ~9% on the news). Institutional/shareholder mix changes: With promoter stake lower, institutional/other investor stakes become more meaningful. Data show FII and mutual funds increased – FII up to ~11.14% in Q3 2025, mutual funds ~12.52%. ⚠️ Key risks & caveats Why the dilution: If the primary driver is non-business (estate planning, promoters exiting), that might raise concerns about long-term promoter commitment. Future dilution venues: If this is just the start of promoter selling, future blocks or secondary offerings could further dilute and weigh on sentiment. Lock-in / control carve-outs: The block deal reportedly had a 3-year lock-in but with carve-outs (inter-se promoter transfers, change of control, etc). So risk of further shift in promoter structure exists. Valuation / margin risks: While not directly about promoter dilution, the business growth is moderate (~8% revenue growth in Q1 FY26, margin pressure indicated) which may amplify impact of the dilution in stock valuations. 🔍 My verdict (brief) The promoter stake reduction from ~75% to ~51% is significant and should be considered by investors. On one hand, the dilution may increase free float and institutional interest (good for liquidity). On the other, it introduces an element of “less skin in the game” by promoters and possible overhang. If the business fundamentals remain strong and the leadership stays committed, this change might be manageable. But if subsequent promoter exits follow, that could be a red flag. For current/potential investors: treat this event as a governance/ownership risk factor and consider building a “margin of safety” for valuation.
