@voydboiii @hecubian_devil Actually, the U.S. has very positive relations with Vietnam. This is in contrast to China — who also invaded Vietnam and now asserts several imperialist claims on sovereign Vietnamese territory.

My understanding is the antitrust community likes to note a rare crystalline defense for a merger is the “failing firm” defense, where a merger is required to save a firm from dying. Spirit didn’t make that argument. Of course, the market would devour any firm that did, fast.

Given the news today that Spirit Airlines is shuttering and thousands of people are losing their jobs, I think we should honestly assess whether the Garland DoJ stopping the JetBlue merger with Spirit Airlines was the right call. Perhaps it was but any analysis must consider as part of the equation the loss to so many families ro decide.

@HalSinger They did, pre-litigation. The standard for the failing firm defense, however, is so arcane and divorced from commercial reality that nobody can meet it. Really should be corrected. Same with efficiencies.

There are so many horrible takes on the Spirit Airlines news, blaming Biden and the FTC's Lina Khan--never mind the case was brought by the DOJ--for abusing antitrust law. See, e.g., Rattner in the New York Times below. The DOJ *prevailed* on a judge that the merger, by eliminating head-to-head competition on myriad overlapping routes, would result in higher prices and thereby injure airline passengers; had the case not been meritorious, the merger would have sailed through. Moreover, the merging parties never raised a failing-firm defense. The judge evaluated the competitive effects against a world in which everything is the same but for the merger--that is, a world in which Spirit continues to operate independently. That Spirit's financials deteriorated in 2024 and 2025 relative to 2023 could not have been known when the case was brought (Mar. 2023) or blocked by the court (Jan. 2024). See financials below. Finally, the merger challenge cannot be blamed for Spirit's deteriorating financial condition; that was caused by unrelated factors, including per Spirit grounded aircraft due to Pratt & Whitney engine issues, weak demand for domestic leisure travel, and intense competition. I would add that, as a low-cost carrier, Spirit has not outfitted its planes to cater to high-income travelers a la United and Delta. So please stop blaming activist antitrust enforcement for Spirit's sorry state of the affairs.

Antitrust enforcement was useful a century ago when there were actual monopolists in the American market. The only monopolies today are government-created, not due to the operation of the free market. Antitrust enforcement should, by & large, go the way of the dodo.
