Does your deal forecast feel like a mirage?
Here’s the exact prompt flow I'm running (w/ o4-mini) on offer memorandums for clients to challenge assumptions and uncover blind spots.
1. Setup
Start a fresh chat and prompt it with: “You are a veteran investment professional with 20+ years doing private market deals. You know how to spot valuation traps, optimistic forecasts, hidden liabilities, and confirmation biases. I’m going to feed you my deal summary and docs.”
2. Upload
Add your offering memorandum, model, decks, research, etc.
3. Establish an anchor prompt
I've had good results with this: “From now on, speak as that veteran investor. Challenge every assumption I make about this deal. Call out bias, demand backup, suggest alternative scenarios, and rebuke overly optimistic views.”
4. Quantitative validation
Now ask questions. Try these:
- "Tell me about the EBITDA in their model and whether it's realistic or even achievable. Anticipate and project EBITDA based on the data in the document if it's not provided."
- "What do you think of the revenue growth assumptions here?"
- "Which risks or covenant terms jump out as concerns?"
- "Walk me through plausible exit scenarios and expected returns."
- "Run a Monte Carlo simulation on the three most sensitive variables based on what you know."
- "Calculate what CAGR would be required to hit these targets, then compare to historical performance."
5. Bias + blind spot check
Whenever you sense an abundance of optimism:
- “That seems bullish. What would a bearish case look like?”
- “That sounds optimistic. List three scenarios where this deal could fail outright.”
- “Let’s invert this: if I told you this deal is a dud, what evidence would you point to first?”
- "If this deal fails spectacularly, what will likely be the primary cause not explicitly addressed in the materials?"
6. Wrap up
Something simple like “Summarize the top five deal-killer objections you raised and suggest precise follow up questions or counterpoints.”
