The market sold this genetics company because Q1 was ugly: • Revenue down 3.2% YoY • GAAP loss of $24.8M • Adjusted EBITDA loss of $15.2M • Large customer transition hurting diagnostics volume Fair. But then look at the valuation: • $604.7M cash + investments • $460M market cap • $842M tangible book • 0.55x TBV • EV/5Y FCF: 1.08x • Q1 buybacks: $40.1M That is not a normal “bad quarter” valuation. That is the market throwing the laboratory, the cash pile and the filing cabinet into a skip because one customer moved.

One of the strangest setups in markets right now is software companies trading around the value of their own balance sheets. Expensify: • $58M cash • $70M market cap • no debt • positive EBITDA • positive FCF • >$130M revenue The market has compressed years of bad outcomes into the current valuation even though the underlying software platform continues functioning normally. If you think like the owner of a business instead of a participant in a graph-watching competition, these setups start looking extraordinary.

Watched a business delisted for roughly 1x FCF recently. 130m in revenue 20m in FCF (5Y average) 30m net-cash No debt An investor quietly built a 40% stake, and allied with the management team, who owned another 12% stake. The investor made an offer of 17m to take the whole thing private, using the companies money not their own. The management team released ‘bad news’ and the stock price dropped. The investor revoked their offer to ‘preserve liquidity’. Management released more ‘bad news’ (impairing suspiciously capitalised costs), making net-income look like a horror show. Market cap dropped to ⅓ of net cash. During this period, FCF was positive and net-cash doubled. The investor reappeared and made a new offer of roughly half the previous one. They had a ‘vote’ and it passed. They get a 130m revenue company with 20m annual FCF and 30m net-cash for just over 10m. The stock market is the only place on earth where this kind of deal happens without anyone batting an eyelid. This is why I’m here.
