Two important things to note:
1) With this raise, plus the $2B investment from NVIDIA, 2026 CapEx is likely fully funded (or close).
2) My last valuation model (to be updated soon) assumed 329.3M shares outstanding, ~30% above YE2025 levels.
Some people said this was too conservative, but I wanted to account for the dilution needed to fund the buildout.
I ended up more than accounting for NVIDIA’s investment + this new raise, so this isn’t surprising.

🚨 JUST IN: $NBIS signs new AI infrastructure agreement with $META. Total contract value of up to ~$27B. Under the five-year agreement, Nebius will provide $12B of dedicated capacity across multiple locations, based on one of the first large-scale deployments of the NVIDIA Vera Rubin platform. Nebius will deliver this capacity starting early 2027. Furthermore, in connection with access to these NVIDIA Vera Rubin deployments, Meta has committed to purchase additional available compute capacity across certain upcoming Nebius clusters up to a total of $15B over a five-year period. Nebius currently intends to sell this capacity to third-party customers of its AI cloud business, with remaining capacity to be purchased by Meta.
