@BrentBeshore VC markets are not shut. Doom memos are relevant but also a way to throw off less savvy VC investors. Smart investors are writing big checks right now. And you can't go in and out of investing. You can't time the market.

Heard from a few yesterday that the venture markets are basically shut, which backs up the recent rash of doom memos. Serious Q: Is there an opportunity for a counter-cyclical VC firm where you raise longer-dated funds and only invest in periods like this? Anyone doing this?

@thatgerald @nadsdugal @asanwal A SAFE note is debt that assumes conversion into preferred. So if you sell before conversion you have (debt) preference. After conversion you have preferred stock which almost always has some type of preference. SAFE notes exist to close deals quickly w/ little legal expenses.

@nadsdugal @asanwal Some include liquidity event preferences to keep on par with preferred shs if the co is acquired before priced round. How can you exercise a liq pref before conversion? It’s a placeholder to preserve preferred holder rights. Paired with MFN, the liq pref in a SAFE is meaningless.

Curios -- Why do VCs get a 1x liquidation preference when investing? Is the idea this aligns incentives in some way? Given VCs makes their money on the outliers and it is called "venture" capital, why do VCs get this protection? "It's industry standard" is not an answer

@roshanpateI It’s a message … “I’m being frugal, you better be frugal too.” It’s a common VC worry when investing in a startup that the entrepreneur doesn’t understand that every penny should go towards achieving milestones before the next raise. You should only spend on essential stuff.
