Which is very well defined under 18 U.S.C. § 1343 18 U.S.C. § 1343 elements: - A scheme to defraud: The existence of a plan or intent to cheat someone out of money or property. - Material misrepresentations: The use of false promises or material omissions. - Intent to defraud: The defendant acted knowingly and with the specific purpose to deceive. - Interstate wire communication: wire, radio, television, email, electronic wire transfer, etc. For simplicity, let's pretend that there's an AUSA in the US who is willing to prosecute this case + US venue can be established + interstate wire can be established. Here's the actual text of the proposal: > Implement Sowellian governance, install new members and council, rebuild from the ashes, monetize holdings, stop the bleeding, all YES voters are eligible to receive tokens > 1. Add Metadata > 2. Send 4.426.104.450.305 Bonk to 9bxWkNf3BtJ6iehq9KbX9uCWMjem4TFiPZ19T2sYJHvQ --- Arguments that it's wire fraud: 1. "They did what it said" is not really a valid defense. Wire fraud (like most law) covers half-truths and misleading impressions, and intent. > "Stop the bleeding" > "rebuild" > "monetize holdings" > "install new members and council" all were written to create the impression of a governance reform benefiting the DAO. That's pretty schemey, kids. 2. Materiality is measured by whether the statement had the capacity to influence a reasonable decision-maker. It doesn't require proving that it actually did influence them. 3. The fact that it turned out nobody was watching doesn't change intent. An attempted con where the mark never shows up is still an attempted con and thus crime. 4. "All YES voters are eligible to receive tokens" is arguably a false promise IF tokens were not distributed to all YES voters. (Big if!!!!!) Also omits all the other relevant parties (non-voters, no voters, other stakeholders, etc.) 5. "Implement Sowellian governance" is an even stronger false promise bc "Sowellian governance" isn't just some idea in a book somewhere. It's like...a thing thing: realms.today/updates/sowell…. "Implement [named governance system that exists as a deployable product on this very platform]" is a specific, verifiable, falsifiable commitment. And intent-not-to-perform is easy here given the executable payload contained zero governance-implementation instructions. --- "It depends" Arguments: 1. Presumably there's a lot of writings and shit elsewhere that more fully discuss and define the purpose of the DAO and the token and votes and shit. If these exist and are relevant, it could make it more clear that the proposal on the whole intended to deceive, even if they managed to do so via a vote that was technically valid. If they don't exist or aren't relevant, well, see the next section. --- Arguments that it's not wire fraud: 1. "All YES voters are eligible to receive tokens" is not the strongest "false promise." There's no specificity, no answers to the obvious questions (when, who, how, etc.) Any halfway decent defense attorney would harp on this. 2. The closest precedent (Mango Markets / Avraham Eisenberg) had fraud convictions thrown out post-trial. Specifically because there was "insufficient evidence of falsity" given that Mango had no rules, instructions, or prohibitions about borrowing, no ToS, and no repayment requirements." This is important to understand. The ruling was not that exploiting code is not fraud. It was that there was no rules or promises so nothing was false. 3. If the attacker held enough votes to pass the proposal in all circumstances, that could impact the mechanism and/or intent. e.g. If the misleading text is merely useless decoration on a transfer vs the scheme / deception that resulted in the transfer. "Ceci n'est pas une pipe" is not wire fraud (even if it is, indeed, une pipe.) --- tl;dr: code is not law, law is not code, yall silly fucking kids for thinking otherwise, but your magic internet tokens are gone anyways so it doesn't much matter. 😘
