One year ago today, What a year it has been. Our football results are not yet where we all hoped they would be, and I know that has brought frustration, heartbreak, and difficult moments for all of us. But deep in my heart, I truly believe we will get there. I believe our time will come. Because when I look beyond the table, I see something powerful. I see an organization that, from a financial, Balance sheet, operational, and business perspective, is in the healthiest position it has been in across its entire 78-year history. That matters. That is the foundation of something lasting, something real, and something worth fighting for. None of this would have been possible without the tremendous love and support of our fans, our amazing staff, and every employee who has poured their heart into this club. Your belief, your loyalty, and your passion have made the heartbreaks, the challenges, the battles, and even the wars along the way bearable. More than that, they have made this journey meaningful. An Open and Transparent Offer to Buy Pogoń Szczecin! Over the past week, I have been heartened by more than 900+ messages from fans, supporters, and devotees of Pogoń Szczecin, all expressing a deep connection to this club and urging me to reevaluate my withdrawal from acquiring it. Let me be clear: my decision to step back was not for lack of love for this city or team, nor from any deficit in vision or resources necessary to lead Pogoń into a prosperous new era. It is my firm belief that Pogoń Szczecin merits leadership that embodies integrity, accountability, and expertise. With the right management, I see a future where Pogoń is not just surviving but thriving, becoming a pillar of excellence in both Polish and European football. Recently, an incident involving Nilo and his family highlighted the similar challenges they faced, challenges that echo our experiences with this transaction. After connecting with Nilo and Liz just few days ago, who I believe are very capable of playing significant roles within this organization, I recognized a critical juncture for the club. Without decisive action, the club could face dire financial straits, bankruptcy, insolvency and potential relegation to lower divisions. In response, my team and I arrived in Poland last night, committed to begin the work necessary to avert this crisis. Today, I stand before you advocating for a principle long absent from this club: transparency. Every offer I make will be public, ensuring no secret dealings or undisclosed ownership. This transparency will allow every stakeholder to make informed decisions. However, there is an alternative path being forged by certain individuals with questionable motives. These parties seek to burden the club with further debt or advocate for city ownership, funded by taxpayers' money. Such a path would only ensnare Pogoń in the bureaucratic quagmire that has already stymied the growth of other city-run clubs across Poland. This is not the future Pogoń Szczecin deserves. Therefore, I propose the following terms: should the board and Mr. Mroczek agree within the next 12 hours, the Mroczek family, the team, and the players will receive their due funds by Friday, March 14. This offer is built on a foundation of accountability and transparency. The choice presented is simple: accept this proposal to secure the club’s future and allow Pogoń to ascend to its rightful greatness, or decline it, potentially exposing a desire within the current management to prioritize personal gain over the club's welfare. Pogoń Szczecin stands at a crossroads. Let us choose the path of integrity and transparency. This is my offer—open, unequivocal, and determined. The decision is now yours. 1. Immediate Buyout of ALL Jarosław Mroczek’s Shares I am set to purchase all shares from Nilo, who originally acquired them from Jarosław Mroczek. Although I am buying the shares directly from Nilo, I will be making the payment of €1 million directly to Mroczek. This arrangement ensures that Nilo fulfills his financial obligations to Mroczek from their prior transaction, allowing Mroczek to disengage completely from the club and enter retirement without any pending financial entanglements. This payment will facilitate a smooth transition and sever Mroczek's financial ties to the club, allowing him to pursue retirement activities such as traveling, spending time with family, or simply enjoying a relaxed lifestyle free from the demands of managing a football club. As a gesture of goodwill and to maintain a symbolic link between the Mroczek family and the club, Mrs. Mroczek will retain her 1% personal share, which she can transfer to their children if she chooses. The transaction will be secured with the shares held in escrow by a public notary in the city of Szczecin. This ensures that once the payment is confirmed, the transfer of ownership is executed smoothly and transparently. My legal team has prepared all necessary documentation for this transaction and will send it to the notary within the next few hours, guaranteeing no delays, last-minute conditions, or unnecessary roadblocks. This strategic and clean transition is designed to propel the club into a more competitive future. 2. Full and Immediate Repayment of Karol Zaborowski & His Wife As part of our comprehensive strategy to fortify the future of Pogoń Szczecin, we are taking proactive measures to address financial obligations that could compromise the club's stability and potentially affect its standing with Ekstraklasa and other licensing entities. Although the repayment of loans taken by Karol Zaborowski and his wife is not due until late June or July of 2025, we have chosen to settle these debts within the next 7 business days. The total repayment, including any accrued interest, amounts to approximately €2.4 million. This decisive action ensures that the Zaborowskis will no longer wield any financial, control, or managerial influence over Pogoń Szczecin. By addressing these loans ahead of schedule, we will completely remove any personal guarantees and leverage that the Zaborowskis hold over both Jarosław Mroczek and the club, thus ensuring Mr. Mroczek a fully unencumbered departure from any lingering financial entanglements with these lenders. This measure significantly benefits Mr. Mroczek, releasing him from the financial pressures and threats posed by the Zaborowskis, and permanently terminating their influence over him. This initiative is crucial for protecting the integrity and ensuring the future prosperity of Pogoń Szczecin. It is essential that no lender, particularly those without expertise in football and driven solely by financial motives, should have the ability to influence or control the operations of the team. Football clubs should be managed by individuals who possess a profound understanding of and a dedicated commitment to both the sport and business aspects of football, not by those pursuing financial control through hidden agendas. After this transaction, Mr. Zaborowski and his wife will retain the ability to support Pogoń as season ticket holders, but their administrative and financial roles within the club will come to an end. This definitive separation from their financial interference will enable us to develop a leadership structure rooted in integrity, rich in football knowledge, and informed by global business acumen. The repayment of this debt will be conducted using equity, not through the accumulation of additional debt, in line with our commitment to maintaining financial stability. This reflects our dedication to a responsible, transparent management approach that focuses on the long-term success and viability of Pogoń Szczecin. 3. Payment of Players Salaries by March 14, 2025 A financially stable football club is a competitive football club. That is why, within the first 48 hours, I will immediately subscribe to all outstanding shares under the club's pre-prepared Share Subscription Agreement, injecting 10 million PLN (€2.5 million) into Pogoń Szczecin—the maximum allowed under Polish law with this current subscription. This move is not just about investment; it is about restoring financial health and ensuring the club can operate without the constant burden of looming debt. Our legal teams can execute this agreement within 24 hours, providing an immediate injection of capital to cover Plays salaries urgent liabilities and stabilize operations. The first and most critical use of these funds will be to pay all outstanding player salaries in full by this Monday—ensuring that those who take the field for Pogoń Szczecin no longer have to worry about unpaid wages or financial uncertainty. This is how we restore trust. This is how we rebuild stability. This is how we win—by ensuring the club’s obligations are met, its players are respected, and its future is secured. 4. Appointment of Tan Kesler as CEO & Board Member A football club is only as strong as its leadership, and that is why Tan Kesler will be appointed as CEO and a board member, taking full control of both football and business operations at Pogoń Szczecin. He will relocate to Szczecin and run the club full-time from Poland, ensuring that decisions are made on the ground, with direct accountability to the club, its fans, and its future success. As a busy entrepreneur, I do not have the time or the specific expertise to run the day-to-day operations of a football club at the level Pogoń deserves. That is why I am entrusting this responsibility to a true professional, a leader with an exceptional international football pedigree, deep connections with top clubs and executives across Europe and North America, and the strategic vision to elevate Pogoń Szczecin. @tankesler is that leader. His track record speaks for itself, and he will bring in the right people, from Poland, England, Spain, Europe, and North America, to support our vision—including a world-class CFO, elite scouts, and top-tier football and business executives with integrity, experience, and a history of success. We will continue to engage the services of Nilo Effori, his wife Liz Souter as senior executive of the management boards, and all current staff and employees. I have become a big fan of Nilo and his wife in a short period of time. I want to emphasize unequivocally—this decision is not driven by motives of revenge, personal grievances, or settling old scores. My primary focus is on fostering a successful and competitive club, with our sights set firmly on the future rather than the past. I have great respect for Piotr, the CFO, and he will continue to play an important role in the club’s future. Everyone stays—including Tomasz and Dariusz, the sporting director. Past disagreements, comments, or personal attacks against me are irrelevant. People are entitled to their opinions, and I hold no grudges. However, loyalty to Pogoń Szczecin must come first. There is no room for personal agendas or internal power struggles. What matters now is whether each person is willing to embrace this new vision, align with the club’s ambitions, and work with Tan Kesler to build a better future. At the end of the day, all personnel and executive decisions will be solely at Tan Kesler’s discretion. He will determine who fits into this vision and who does not, based on professionalism, commitment, and contributions to the club’s success. This is not about division—it is about building a successful, forward-thinking football club. Those who truly care about Pogoń Szczecin will step up, align with this new vision, and help take this club where it belongs. 5. Expansion of the Board of Directors. Building a World-Class Board for Pogoń Szczecin – A New Era of Leadership In every successful organization, whether it’s a global corporation, a government institution, or a top-tier football club, leadership and governance define success. The world’s most respected companies carefully appoint board members based on expertise, integrity, and a shared commitment to excellence—not personal financial interests or backroom deals. Football clubs must follow the same standard. That is why we will expand Pogoń Szczecin’s board to bring together the best minds from Poland and the international football community. This will be a board that not only understands the game on the pitch but also the business and governance required to sustain long-term success. Who Will Be on This Board? The new leadership structure will prioritize transparency, accountability, and professionalism. Our board will include: A renowned Polish lawyer to ensure full compliance, legal oversight, and financial discipline. A world-class retired European footballer, someone who has played at the highest levels, to shape the club’s sporting identity, advise on player development, and contribute to our footballing philosophy. A retired EU Parliament member, someone with a deep understanding of governance, long-term strategic planning, and high-level decision-making. Top-tier international business, Technology and marketing leaders, individuals with a proven track record in commercial success, who will help drive financial growth, increase sponsorships, and expand the club’s international presence. A representative from the City of Szczecin, ensuring that the local government has a voice in the club’s long-term success and remains an engaged stakeholder in its future. A representative from the Fan Association, because this club belongs to its supporters. Fans should have a voice in the decision-making process, ensuring their passion, traditions, and concerns are always represented at the highest level. A New Era of Leadership – No More Conflicts of Interest For too long, personal financial interests and hidden agendas have influenced the decision-making at Pogoń Szczecin. That era will end. With the right leadership, the right management, and the right vision, Pogoń Szczecin will not only survive but thrive. 7. Additional Share Subscription – 20,000,000 PLN (€4.5 Million) Investment. Securing Pogoń Szczecin’s Financial Future – A Transparent Capital Investment Plan One of the most critical aspects of rebuilding and strengthening Pogoń Szczecin is ensuring that the club is financially stable—not just today, but for years to come. A successful football club cannot operate under the weight of unpaid debts, unresolved financial obligations, and short-term fixes. That is why we are committed to a structured capital investment strategy that will inject €4.5 million (20,000,000 PLN) through a new share subscription agreement. This will be done in accordance with Polish corporate law, and while the legal and regulatory process may take 4-6 weeks to finalize, we will begin the necessary steps immediately to ensure that this capital is raised and deployed as quickly as possible. Where Will This Money Go? Once the share issuance is complete, the first use of proceeds will be to clear all short-term financial burdens that have weighed the club down for too long. The funds will be transparently allocated to: Settling all outstanding debts – ensuring financial clarity and stability. Paying off all liabilities – removing any immediate financial roadblocks to the club’s progress. Honoring player bonuses – restoring trust between the management and the squad. Fulfilling financial commitments to other clubs – ensuring the club’s integrity and compliance with all agreements. Addressing tax obligations – keeping the club in full legal and financial compliance. A Responsible and Forward-Thinking Approach. No More Loans! Unlike past short-term financial solutions that have left Pogoń Szczecin in a cycle of instability, this capital investment strategy is structured, planned, and executed with long-term sustainability in mind. The goal is not just to clear debts—it is to position the club for sustainable growth and financial health. With a well-managed financial foundation, Pogoń Szczecin will finally be able to operate like a modern, professional football club—one that prioritizes success on the pitch without financial chaos off it. This is how real clubs operate. This is how Pogoń Szczecin will move forward. 8. Full Repayment of All Remaining Lenders by July 30, 2025. A Debt-Free Future for Pogoń Szczecin – A Clear and Final Repayment Plan A football club burdened by debt cannot compete, cannot plan, and cannot grow—it remains stuck in survival mode instead of striving for success. That is why our approach is simple, fair, and final—to ensure that Pogoń Szczecin moves forward as a strong, debt-free, and financially responsible club. We estimate that with interest payments, Pogoń Szczecin currently owes approximately €6 million (25 million PLN) to a group of 6-7 lenders. Under this plan, every lender will receive full repayment by July 30, 2025. Unlike the current uncertainty, where repayment is unpredictable and dependent on financial instability, this offer guarantees that they will get their money—without question, without risk. Equity-Based Repayment – The Best and Only Sensible Solution The Loans will be repaid with my equity investments and not as new loans, ensuring the financial health of the club while honoring all obligations. No need for further negotiations, no doubts about repayment—the money is committed, and they will receive it in July. If the team collapses, if Pogoń drops to the lower divisions, these lenders risk losing everything. If they are truly “friends of the club,” then now is the time to prove it. This is the best possible offer for everyone—for the team, for the fans, and for the lenders. With the current situation, there is no guarantee when or if they will ever get their money. But under this proposal, they receive full repayment on the agreed date, secured under a structured, transparent plan. Don’t listen to empty words and false promises from those who offer nothing but uncertainty. The best path forward is here, on the table, open for all to see. Now, the question is simple: do these lenders want to truly support the club, or do they want to watch it sink? The decision is theirs. 9. Investment in the team – Building a Championship Team – Smart, Strategic, and Competitive Success in modern football requires smart planning, strategic recruitment, and an unwavering commitment to excellence. We are not here to simply participate—we are here to win. To achieve that, we will invest, strengthen, and build a team that can compete at the highest levels—in Ekstraklasa and in European tournaments. To make this vision a reality, I will immediately increase the team’s annual football budget by an additional €2 million for Tan Kesler and his management team to reinforce the squad for the upcoming season. This is not just about spending money—it’s about making the right investments, at the right time, with the right people. Targeted Player Recruitment – A Balanced, Young and Elite Squad We will sign 5-6 top-quality players to complement the talented squad that already exists. At least 3 (Three) new signings will be Polish, ensuring we strengthen the club’s domestic core and maintain our strong national identity. The remaining players will come from top European leagues, bringing technical skill, youth, tactical intelligence, and experience to take Pogoń to the next level. Smart Transfers, Not Wasted Money – A New Standard for Pogoń We will not overpay for mediocrity. Every signing will be scouted, vetted, and analyzed to ensure they bring real value to the team. We will build strategic partnerships and loan programs with some of the biggest and most respected clubs in the world, ensuring we have access to elite talent at the right cost. We will refuse to work with corrupt and dishonest agents. No more inflated deals, no more shady third-party ownership schemes. Only clean, world-class, ethical football business. We will invest in winners. Players who have the hunger to compete, the mindset to succeed, and the ambition to take Pogoń to the top. I want to win. I want Pogoń to compete in European tournaments and bring trophies home. Transparent Ownership – Open, Accountable, and Fully Verified To ensure a seamless, transparent, and legally sound transaction, the purchaser will be, a Polish corporation, owned by my Greek corporation with a proven track record of financial integrity and corporate governance. My Greek entity is a fully established business, audited by Ernst & Young Greece—one of the world’s most reputable accounting firms—ensuring that every financial aspect of this deal is fully accounted for, above board, and compliant with international financial regulations. The transaction will be legally represented by Dentons Law Firm in Warsaw Poland, Dentons is recognized as the world's largest law firm by number of lawyers, with over 12,000 attorneys operating from more than 160 offices across 80 countries., ensuring that all agreements, structuring, and compliance measures are handled at the highest professional standards.
