Founders suck at saying no to investors when they are not ready. VCs are always evaluating even if they mean to "catch-up". Letting an investor go deep in your business pre-emptively is a lose-lose situation - especially when you are not raising. Scenario 1: They extend a term-sheet - in this case, you do not have other term-sheets on the table to find the right price or negotiate. Scenario 2: They stop responding or go cold after a couple of calls, you do not have any backups and your time is wasted. They will not look at you for a good 6 months. This is a message we sent to most investors who wanted to DD us pre-emptively. Of course, if you really like a VC or the individual who you really want to get on your cap table - do not play hard to get or arrogant, it is different. Remember, VCs are great at showing their excitement to founders about a deal till they are not.
