@jessefried @elonmusk I assume M-arbs rely on this type of settlement-modelling to price. But parameter values necessary to support $34/share (current price) seem pessimistic both on likelihood of SP and walkaway TWTR price and your analysis assumes TWTR board has no bargaining power in repricing.

Even if @elonmusk likely to lose in court, he can still save himself $10b. Here's why: suppose stand-alone value of Twitter is $10/sh. If 70% likely Ct forces M to buy at $54/sh, EV = $41/sh (70% x $54+30% x $10). Twitter should agree to settle at $41, saving Musk 25%.
