I went through Amendment No. 6 of the 21Shares Polkadot ETF line by line. Not summaries. The actual document filed with the SEC on January 20, 2026. What stands out first is the posture of the filing. This filing is not written to excite anyone. It reads like a response to scrutiny. Every section is structured to remove ambiguity, define responsibility, and explain how risk is handled rather than avoided. The trust is designed as a spot product. It holds DOT directly. There is no leverage, no derivatives, and no synthetic exposure layered on top. The objective is simple and narrowly defined. Track the price of DOT using the CME CF Polkadot Dollar Reference Rate New York Variant, adjusted for fees and liabilities, and reflect staking rewards only if the sponsor determines they can be earned without introducing legal, regulatory, or tax risk. That framing is important. The shares are expected to list on @Nasdaq under the ticker TDOT. Nasdaq is not a branding choice. It brings daily surveillance, reporting standards, and continuous market oversight. This is DOT being placed inside infrastructure that already has rules, controls, and enforcement. The seed mechanics are explicit. The filing states that 21Shares US LLC will act as the initial seed creation investor, purchasing 20,000 shares at $25 per share. That is approximately $500,000 used to acquire DOT before or immediately prior to listing. Without that step, the ETF cannot function on day one. On January 16, 2026, the benchmark price referenced in the filing was $2.10. Share creation and redemption follow a controlled process. Only authorized participants can create or redeem shares, in blocks of 10,000. Creations can occur in cash or in kind. For cash creations, the authorized participant deposits cash, and a designated DOT counterparty purchases DOT and delivers it to the custodians. Redemptions reverse that flow. The filing is clear about who absorbs execution friction. Any slippage, spreads, or trading costs fall on the authorized participant, not the trust or the sponsor. Fees are stated plainly. The sponsor fee is 0.30% annually. It accrues daily and is paid in DOT weekly in arrears. Over time, this reduces the amount of DOT backing each share. The document states this directly rather than implying otherwise. Operating expenses are covered by the sponsor fee, except for defined extraordinary expenses. Staking is included, but handled with restraint. The trust may stake a portion of its DOT if the sponsor determines it does not introduce undue legal, regulatory, or liquidity risk. The modeled target range is 40% to 70%, with the ability to adjust higher or lower depending on conditions. In extreme cases, up to 100% may be staked. The filing explains why this is not trivial. Polkadot has a protocol defined unbonding period of 28 days as of October 31, 2025. During that time, staked DOT cannot be accessed. The document links this directly to redemption risk, including the possibility of delayed settlements or temporary suspension of redemptions during stress scenarios. Validator risk is addressed directly. Slashing is disclosed plainly. If validators misbehave, staked DOT can be lost. Staking rewards, if earned, are split after provider fees. Staking providers are expected to take a low single digit share. After that, 25% of staking rewards go to the sponsor post listing, with the remainder retained by the trust. Rewards may be distributed to shareholders at least quarterly, with no guarantee that any distribution occurs in a given period. Regulatory uncertainty is acknowledged throughout. The filing states clearly that DOT’s classification under US securities law remains unresolved. An adverse determination could materially affect the product. This risk is not minimized or softened. What this amendment quietly shows is discipline. DOT is being treated as something that can be priced, custodied, created, redeemed, and potentially staked inside a framework designed for institutional capital, without bending the rules of that system. A lot of the discussion around ETF filings focuses on approval timelines or price reactions. This document is doing something more structural.
