@PadraicMcC Why wouldn’t you though. If it’s 90% cash upfront he probably wasn’t expected to be that involved post-close anyway. Plus I’m assuming exclusivity lapsed after 90, he can go out and shop it to others while waiting for legal

This is entirely unfair but this is (potentially) a good example of doing a deal with a crappy PE group and then complaining about PE six months later.
I understand fatigue is real and Don’t do this deal is my very uneducated advice.

My buddy is getting nervous about the LOI from a private equity group Signed 90 days ago and the buy-side QofE came in as expected with no surprises But no movement on the APA and zero communication on a closing date Should he be nervous about PE backing out? Literally asking for a friend

I'm convinced that the way I was taught how to play golf is increasingly rare these days. - played holes with my dad and siblings on spring and summer weekends from ages 4-10. (Pre internet) - learned everything on the course. How to rake a bunker, fix a pitch mark, where to stand etc. - wasn't allowed my own golf bag or clubs until I proved I wanted to get better and take the game seriously - walked my first 18 holes around age 13. Had to be good enough to get around in 4 hours. I felt like I earned the right to play. A goal I achieved. A high barrier of entry is necessary to retain the core traditions and etiquette of what makes golf great.

@NBABabySecret Ernst & Young has had controversies, but no actual serious cases of fraud. A company as large as them, that’s been around for as long as they have will have a few mishaps. They bring in $50 billion dollars per year, the NBA is a drop in that bucket. The risk/reward isn’t there.
