There are other things about the health care system that are even worse, but this is spot on and a good start. One side note: guess what one of the biggest hindrances for groups of providers or individual providers going direct to employers are? the regulations and the local hospitals that stop them. @mcuban

The greatest problem in healthcare ? Hospitals, even market dominant hospitals, won’t walk away from the big ins companies that underpay, late pay, clawback, deny claims, waste their time in denial appeals, and require them to pay up to 8 pct of revenue to RCM consultants so they think they are getting what they are owed. Here is the crazy part. The ins companies ARE NOT THE ONES ACTUALLY PAYING THEM on commercial plans. Employers are. 60 pct of employees get their insurance from their self insured employers. The ins carrier is just a middleman that pretends to add value. All the clinical “value” they add, the hospital could do better, for both medical and pharmacy. Most hospitals have no idea whether they make or lose money with their big ins contracts. They are just afraid to lose patient flow. But. They actually know which companies their patients are coming from. They actually know or can find out, how much more the employers are paying the ins company, than what the ins company pays them (the spread, just like in pharmacy ) And to make it worse, those ins companies negotiate their rates as a discount from the “charge master “, which is like WAC in pharmacy. Just a made up list price. Because the hospitals are afraid or too uninformed to walk away from these deals, the hospitals use the inflated charge master prices as the basis to charge uninsured , or out of network , or insured but not covered for their care, at charge master rates. Which of course the patients can’t afford. And it crushes their finances or they go without care I’ll summarize. Employers , and their members , are paying far more than they should to companies they don’t like working with , that effectively rip off both the employer and hospital , and they could eliminate the middlemen if they went directly to to the employer. It’s so simple. Sell your services to the employers that use your services at a price that is less than what nine companies charge for your services and you will make MORE money and employers will save a ton And if they did this, they could dump the chargemaster and reduce the price they bill patients when they are at their most vulnerable But they don’t want to change. And don’t get me started on how much hospitals over pay for drugs and devices because of the GPO deals they do. It’s just stupid. Which in turn leads to the hospital being a bad actor with 340b , facilities fees and afraid of their doctors who demand they pay more for things like glue and implants so they can get vacations. If you are a politician and reading this. Now you know why this is so fucked up and it’s not about capping rates. The insurance companies are smarter than you. They will just move the money to other places. It’s not about giving money to patients. You can’t shop for care from hospitals that are too gutless to walk away from the ins companies that distort all of healthcare economics Go to your local hospitals , particularly those at risk of closing and ask for their profitability by carrier. Fully burdened. Ask how much they spend on RCM and consultants. In many cases they could survive if they ran like a real business and hired execs that could do the work rather than just manage consultants. They could work out contracts in their communities rather than with ins companies and benefit everyone. The middlemen are not needed. Get rid of them

The wild part is how every layer of the system pushes hospitals into roles they were never built for - lender, bill collector, insurer, bureaucracy manager and then we blame the patient for the bill. A huge part of the dysfunction starts upstream: insurers design plans where the average deductible is now over $2,000 and nearly half of Americans can’t cover a $500 emergency. That gap forces hospitals to front the cost of care before they ever see a dollar. Then come the delays: prior auth backlogs, denials that get overturned 80–90% of the time on appeal, and payment ‘adjustments’ months after care is delivered. Every delay is an interest‑free loan from the hospital to the insurer and an administrative tax on the system. Hospitals respond the only way the math allows: facility fees, 340B arbitrage, site‑neutrality games, consolidation, and revenue engineering. Not because they’re greedy but because the reimbursement model punishes anyone who doesn’t scale, merge, or invent new billable categories. Meanwhile, the cost structure is upside‑down: administrative staff now outnumber physicians, and the fastest‑growing line item in healthcare isn’t medicine - it’s paperwork. Every new rule, denial, and clawback creates another layer of people whose job is to fight the system the system created. None of this resembles healthcare. It’s the predictable downstream math of a system where every incentive from premiums to prior auth to consolidation rewards complexity, delay, and financial engineering over actual care.

Private equity has poured over $1 trillion into US healthcare in the last decade. 2025 set a record: $191 billion in deal value. The money goes in to own the debt structure, not to fix the hospitals. The playbook is mechanical. PE firm acquires hospital using leveraged debt. The debt lands on the hospital’s balance sheet. The PE firm charges management fees to the hospital, sometimes for services never rendered. The hospital now owes hundreds of millions it never borrowed, plus annual fees to the people who put it in debt. To service those obligations, the hospital cuts staff. The Harvard/University of Chicago study quantified what “cut staff” means in an emergency room. ER salary spending dropped 18.2%. ICU salary spending dropped 15.9%. Headcount fell 11.6%. Emergency department deaths rose 13%, seven additional deaths per 10,000 visits. A separate study found surgical patients at PE-acquired hospitals had 17% higher odds of dying within 90 days. 488 hospitals are PE-owned as of 2025. A quarter of all US emergency rooms. Texas alone has 108. New Mexico: 36.2% of all hospitals. Steward Health Care is the clearest case study. Cerberus Capital bought the chain, loaded it with debt, then sold the hospital real estate to a REIT. Steward now paid hundreds of millions in annual rent on buildings it used to own. CEO Ralph de la Torre collected over $250 million in personal compensation. He bought a $40 million yacht, a $15 million fishing boat, two private jets worth $33 million each, and an 11,000 square foot Dallas mansion next to George W. Bush. He flew the corporate jet 582 times in two years. He visited his own Massachusetts hospitals seven times. Each trip lasted less than a day. Steward filed for bankruptcy with $9 billion in debt. Eight hospitals serving 2 million people nearly disappeared. De la Torre was held in contempt by the United States Senate for refusing to testify. He attended the Olympic equestrian events in Paris while his emergency rooms went dark. This tells you everything about how the model actually works. The fund makes money at acquisition, at the real estate sale, and at the fee extraction. The mortality spike happens after all three. The IRR is already locked in before the death rate moves. The capital keeps flowing because the returns don’t depend on the hospital surviving.

PE-owned hospitals lose their highest-margin surgeries to outpatient, and the death spiral accelerates. When a PE-owned hospital announces "restructuring," the patient volume shift to competitors like HCA starts within 30 days. clinical services shouldn’t sit with the entity financially incentivized to control utilization. that’s not care management. that’s revenue management. when the same middleman controls formulary access, prior auth, analytics, and outcomes reporting… they aren’t measuring care. they’re steering it. patients think benefits are medical decisions. they’re actually contract decisions.

Here is the key issue - paperwork. There are hundreds, if not thousands of different insurance plans with different payment and claim mechanisms. Providers need to account for all of them so that when you show up with your insurance card, they know what to do We need to standardize contracts b one for commercial. One for Medicare. One for MA. One for Medicaid. Plug in the numbers and other info. That cuts admin costs and keeps practices and hospitals open

How do you lose $60 billion in 24 hours? By breaking the one rule Wall Street still cares about. Don’t lie to the market. And don’t insult its memory. UnitedHealth did both. For years, they grew their Medicare Advantage empire by selling simplicity: $0 premiums. No deductibles. Everything included, until it wasn’t. In 2025, they flipped the script: Raised out-of-pocket maxes. Introduced new deductibles. Assumed seniors wouldn’t notice, or wouldn’t bother to leave. They were wrong. They didn’t just lose patients. They lost trust. And when trust disappears, so does valuation. Here’s what happened next: United projected its first revenue decline since 1989. CMS proposed Medicare Advantage rates well below expectations. Wall Street responded. Lawmakers sold their shares. Shares dropped 19% in a single day. $60 billion in market cap gone.
