CBN's New HoldCo Rules: What Investors Need To Know ======== The Central Bank of Nigeria (CBN) is proposing new rules for financial holding companies (HoldCos) such as Access Holdings, GTCO, UBA, First HoldCo, FCMB Group, and Stanbic IBTC. The goal is simple: make banking groups stronger, better capitalized, and less exposed to risks. Key Changes 🔹 More Capital Required HoldCos will need to maintain additional capital above the minimum required for their subsidiaries. This could force some groups to raise fresh funds in the future. 🔹 Minimum 51% Ownership HoldCos must own at least 51% of every subsidiary. Groups with lower ownership may need to buy more shares or restructure. 🔹 Tighter Corporate Governance Directors and executives will face stricter rules on how they serve across group companies. This is aimed at reducing conflicts of interest. 🔹 Less Dependence On Bank Subsidiaries HoldCos will no longer be able to rely heavily on their banking subsidiaries for funding. Each entity will be expected to stand on its own financially. 🔹 Stronger Risk Management Every subsidiary must have its own risk, compliance, and internal control systems. What This Means For Shareholders Some HoldCos may return to the market to raise additional capital. Operating costs could increase as groups comply with the new rules. Dividend growth may slow in the short term for some companies. In the long run, stronger governance and capital buffers could make these institutions more stable. The Bottom Line The CBN wants stronger and safer banking groups. For investors, the biggest issue to watch is whether these new requirements will lead to fresh capital raises, changes in dividend policies, or corporate restructuring among the major HoldCo stocks listed on the NGX. @StockmanNigeria

PRESIDENT TINUBU EXPRESSES SADNESS OVER THE DEATH OF RETIRED MAJOR-GENERAL ABUBAKAR, CONDOLES WITH THE FAMILY President Bola Ahmed Tinubu has expressed shock over the death of retired Major-General Rabe Abubakar while in the custody of terrorists in Katsina State.   General Abubakar, after a distinguished career in the military, retired a few years ago. He was on his way to his hometown when the hoodlums captured him   The President commiserated with his family, especially his wife, who is still being held against her will by the captors.   He also extended his condolences to the Katsina State government and the armed forces.   While the terrorists have done their worst, the President wants them to know that the government will never bow to their demand to release their members held by our security agencies.   As I said on June 12: “Bandits, kidnappers, and sponsors of terror should now surrender or face the full force of the Nigerian State. These windows of surrender will not remain open forever. PUBLIC NOTICE NERC Approves Special Compensation for Eligible Band A Customers Affected by Grid Generation Constraints The Nigerian Electricity Regulatory Commission (NERC) hereby notifies electricity consumers and stakeholders of the issuance of Directive No. NERC/2026/002 on the Special Compensation of Band A Customers Arising from Grid Generation Constraints. The directive was introduced in recognition of the significant generation shortfalls experienced across the Nigerian Electricity Supply Industry (NESI) between February and March 2026, which affected the ability of Distribution Companies (DisCos) to meet the committed service levels for some Band A customers. The shortfalls were largely attributed to inadequate gas supply and vandalism of critical gas and transmission infrastructure, factors beyond the direct operational control of the DisCos. Key Provisions of the Directive: - Coverage Period: The compensation scheme applies to the period covering February 2026 to March 2026. - Compensation for Feeders with 18–20 Hours Supply: Where a Band A feeder recorded an average daily supply of between 18 and 20 hours, the existing compensation framework under Addendum No. NERC/2024/003 shall apply to both Maximum Demand (MD) and Non-Maximum Demand (Non-MD) customers. - Special Compensation for Feeders with Less Than 18 Hours Supply * Affected Band A feeders will not be downgraded during the covered period. * Eligible customers will receive special compensation as follows: > Non-MD Customers: Compensation equivalent to 20% of the approved February 2026 energy cap applicable to the affected feeder. > MD Customers: Compensation equivalent to 20% of the average energy billed per MD customer in February 2026. Mode of Compensation - Prepaid customers will receive compensation through token credits. - Postpaid customers will receive compensation through bill adjustments. Implementation Timeline - Compensation for February 2026 shall be completed no later than 31 May 2026. - Compensation for March 2026 shall be completed no later than 30 June 2026. Customer Protection - Distribution Companies are prohibited from offsetting compensation credits against any existing customer debt. - Customers must be clearly informed of the value and period of compensation received. NERC remains committed to protecting electricity consumers while ensuring the stability and sustainability of the electricity market. The Commission will continue to monitor implementation and verify compliance by Distribution Companies to ensure all eligible customers receive the compensation due to them. Zulum Delivers Relief, Cash Support to 434 Ngoshe Residents Rescued from Boko Haram By: Zagazola Makama Borno State Government has distributed relief materials to 434 indigenes of Ngoshe community in Gwoza Local Government Area who were recently rescued by security agencies after spending three months in Boko Haram captivity. Governor Babagana Umara Zulum visited the victims in Pulka on Monday and directed the immediate distribution of food and non-food items to support their recovery and reintegration. In compliance with the Governor’s directive, the Director General of the Borno State Emergency Management Agency (SEMA), Alhaji Ali Abdullahi Isa, promptly supervised the distribution exercise. Each rescued person received a bag of rice, a bag of maize grits, a mattress, a wrapper, and a shadda, while children received two pairs of clothing. In addition, 208 heads of households received N50,000 each, fulfilling Governor Zulum’s earlier pledge of financial assistance. Speaking during the distribution, the SEMA Director General said the intervention was part of the government’s immediate response to ease the hardship faced by the rescued victims. “I am here at the instance of His Excellency, Governor Babagana Umara Zulum, who was here some few days ago, and to deliver the items he directed that it should be given to you as emergency relief,” Ali stated. The rescued individuals are currently receiving medical care and psychosocial support at a government facility. Upon completion of the rehabilitation process, they will be reintegrated into their respective communities. The exercise was carried out alongside the Chairman of Gwoza local government, representatives of the Ngoshe community, and other officials.
