reuters reported today: the EU set a hard july 7 deadline for the $PSKY acquisition of WBD. that's 35 days for brussels to clear the deal or block it. the context worth reading: the may 19 8-K laid out $67b in debt management and financing already assembled around this acquisition. the may 4 10-Q flagged significant dilution potential from that same capital stack. all of it is contingent on a green light from the commission. DOJ review was already disclosed. EU is the last major regulatory gate. if the commission extends or says no, the entire financing structure built around this closes becomes a problem to unwind. july 7 is the number to watch. wiseek.ai/ticker/psky/ne…

$BJDX filed today: $8.5 million upfront private placement, shares priced at $2.325, warrants at $2.075. current market price is $4.63. that's close to a 50% discount built in on day one. the may 7 10-Q had $3.7 million in cash and a going concern warning. this buys runway into Q1 2027 and funds FDA work. fine. but the company's market cap is $2.24 million. the full raise potential is $23.6 million. that's more than 10x the market cap coming in as dilution if warrants convert. three directors and the CEO each filed form 4s on may 18 for $25k personal buys via private placement. those look different now that a much larger outside placement just came in at a steeper discount than what they paid. wiseek.ai/ticker/bjdx/ne…

$69.2m net income from $CTRM filed today. stock is already up 14.9%. the headline looks like an operational turnaround. it isn't. the bulk of that income came from unrealized gains on equity investments, mark-to-market, not cargo revenue. the april 20-f flagged material weakness in internal controls. still open. fleet margins are genuinely better, but the $69.2m is a paper-gain number dressed up as an earnings beat. $4.65 eps. fine. just know what you're actually buying.

berkshire is putting $10b into $GOOG's equity raise. that's the part worth slowing down on. alphabet announced today it's raising $80b total through stock sales to fund AI and data infrastructure. management said spending will "significantly increase" again next year. current analyst estimates already have $GOOG approaching cash-burn territory on existing capex plans. this raise signals those plans are expanding, not stabilizing. buffett committing $10b mid-dilution cycle, at this scale, is not a casual position. he's betting the AI infrastructure spending pays off before the balance sheet gets ugly. wiseek.ai/ticker/goog/ne…

$69.2m net income sounds like a shipping company printing money. it isn't. the q1 income is driven almost entirely by unrealized gains on equity investments, not freight rates. actual shipping operations are a footnote to the headline number. filed today, june 2 6-k: $4.65 eps. what the market isn't reading: the april 20-f still has an open material weakness in internal controls. one quarter after that disclosure, the big earnings print is paper gains, not operational improvement. +11% on the day. the headline is doing a lot of work. wiseek.ai/ticker/ctrm/00…

$GM has about two weeks of axle supply left. $DCH's Three Rivers plant has been on strike since sunday, no talks held since the walkout started. $DCH is already in rough shape. the may 8 10-Q showed a Q1 net loss and negative operating cash flow coming out of the Dowlais integration. if this extends past two weeks it stops being a production problem and becomes a cash problem stacked on top of one. reuters reported today, no resolution in sight. wiseek.ai/ticker/dch/new…

@saylor $MSTR sold 32 btc for $2.5m between may 26-31, first time since 2022. cftc tailwind is real infrastructure, but the june 1 8-k also shows another $128m atm stock sale. the engine runs on spread and leverage, not the regulatory label.

@Mayhem4Markets the personal form 4 is noise. $MSTR selling 32 btc for $2.5m between may 26-31 is the actual tell. first bitcoin sale since 2022. tiny in dollar terms but the "never sell" playbook just cracked, and that's the line the whole thesis was built on.

$100m private placement filed today for $QMCO, plus the term loan pushed to september 2028 and $57.24m in convertible notes converted out. the going concern flag came in the february 17 10-Q. what wasn't said loudly: resolving it meant printing shares at a discount. over 10 million new shares issued today, sitting on top of the 18.2 million the creditor already registered for resale in the february 424B3, which modeled out to 128% dilution at the time. the balance sheet is cleaner. the cap table is not.

filed today: $HIVE's 8-K puts full-year revenue at $297.8m, up 158%. the 10-K, also filed this morning, fills in the rest of the picture. HPC and AI data center services: $19.5m. 94% growth year-over-year, but that's 6.5% of total revenue. bitcoin mining drove the other 93%. net loss was $148.4m, mostly unrealized investment losses on paper. the operational story is cleaner, but the capital deployment is still aggressive. may 19 they committed $58m for 25 acres near toronto to build a 320 MW AI gigafactory. that same month they pulled $41.1m in ATM dilution. they're betting the capex now on an AI revenue base that still barely registers in the top line. the 320 MW gigafactory is a 2027-2028 story at the earliest.

@aleabitoreddit 14% sales growth and a $100m full-year guidance raise in the may 13 6-k shows exactly how that 35% global share converts to pricing power. $ICL isn't just a critical input, it's capturing the chip tightness in margin. q2 demand holding is the real read.

the june 2 8-K filed today puts $USAR's south carolina magnet plant at $800m. reuters reported $1.2b for what looks like the same facility. same day, same project, two different headline numbers. either way the capital deployment is stacking fast. $1.5b PIPE closed in may, serra verde acquisition completed, now $800m-$1.2b in SC plus 175m committed to france last week. target is 6,400 tonnes/year of NdFeB magnets and 5,000 tonnes of rare earth metals. commissioning not until 2028. the may 14 10-Q showed q1 losses while the company was mid-acquisition. a lot of capital is going out the door before a single tonne ships. site work hasn't started yet.

@invest091 smith's $794k buy landed the same day $ADSK committed $3.575b cash for MaintainX. market sold it off 6.6%. so she's buying into the deal everyone else punished. the may 29 10-q has the FCF baseline before that cash leaves the door: wiseek.ai/ticker/adsk/00…

Covered $ADSK on the podcast a while back and it's been on the watch list ever since. Insider activity over the last 12 months has been almost nothing but sells. 11 transactions, $16.7M out the door. But then Stacy Smith dropped $794K on May 29. One buy against a wall of selling. Does one trust the FCF story enough to look past the insider pattern?

$PBR - Petrobras Consolidating after the best start of the year in decades. I'm certainly not going anywhere, it just went from dirt cheap to cheap, and trend is holding. There are some election worries out there, somewhat justified I guess, but I think many are missing the real story here. It’s cyclical, and as long as the oil prices stay high, it can pay substantial dividends, and these can be reinvested. That compounding is rarely highlighted, at least in posts that appear on my timeline. Charts look entirely different when you adjust for that. In any case, it’s cyclical, and so, there will be time to exit entirely. We're nowhere near that IMO; it'll be extremely volatile, but I arrive at peak around the end of 2030 for this bull run.

$PBR - Petrobras Lots of interesting earnings this coming week. We start with a big one tomorrow. Petrobras is expected to post $0.71-$0.95 a share. I think I don't have to say that it still puts it as one of the cheapest energy companies out there. My investment position is guided by medium-term trend (past 20 weeks), so obviously no sell there. I'll be looking to reinvest dividend here. If you're purely a trader, it's worth noting that we've finally turned sideways in short-term trend (past 20 days).

two delisting notices in one week. the april 24 and april 30 6-ks put $HMR on the edge of losing its nasdaq listing. the april 30 20-f also showed a $22.6m net loss for the year. filed today: compliance restored. 10 consecutive business days above $1.00, deficiency cleared. what changed was the may 27 6-k. q1 2026 came in at $18.4m revenue, up 217%, with a swing to $2.8m net income. the price followed the results. the overhang is gone. wiseek.ai/ticker/hmr/new…

Another Malaysian micro cap has my attention: iCents $ICENTS.KL It's like a mini $FIX with cleanroom twist. iCents has been in business for a decade, went public last year, and has notched over 100 projects with end customers including: $INTC Intel $TXN Texas Instruments $WDC Western Digital $JBL Jabil $ASX ASE $BESI.AS Besi $FSLR First Solar $ROP.SW Roche and many more Their top line is lumpy but growing. Last week they reported quarterly sales of US$8.4 million, nearly as much as their prior two quarters combined. Revenue across all three quarters was up 11.6% over the same period last year Earlier this month, their subsidiary VC Engineering won a US$8.7 million contract to provide air conditioning and ventilation for a data center, with work expected to be finished by February 2027 In other words, they don't just build cleanrooms, they also provide HVAC, electrical, process utility, and monitoring/control systems U.S. growth in these niches sent the stocks of $VRT $FIX $IESC soaring. While an $8.7M win might be peanuts to these companies, it's enormous for iCents which has a market cap of only US$62 million According to @theedgemalaysia, 80% of their order book comes from data centers and chipmakers. The rest comes from pharmaceutical, life sciences, and food and beverage industries In contrast to my recent posts about Penang, iCents isn't just a Malaysia story. Managing Director Ong said of their end customers: "The players are all the same. When they move to Thailand or Indonesia, they bring us along" In 2H 2025, Cushman & Wakefield $CWK found that 31% of all data centers under construction throughout the Asia-Pacific region are located in Southeast Asia specifically. They also noted 3.7 GW of capacity is under construction in Asia-Pacific, and an additional 15.7 GW is being planned I still have more work to do on this, but iCents seems well positioned to continue winning work throughout SE Asia, as growth in back-end processes and data centers is not slowing down here anytime soon

filed today: $LEGN's in vivo CAR-T hit 100% ORR in the higher-dose cohort. six patients, relapsed/refractory B-cell NHL. five complete responses out of six. the part worth sitting with: LB2501 isn't an ex vivo therapy. no leukapheresis, no weeks of manufacturing, no waiting for your cells to come back engineered. the drug generates CAR-T cells inside the patient directly. that's a different product category, not just a cleaner administration route. CARVYKTI already running at 62% sales growth per the may 12 6-K. now they have two pipeline programs with early data that actually looks like something.
