The Draghi report said Europe was falling behind. Five countries already oppose it. Here is the pattern. For twenty years, Brussels blocked mergers in the name of consumer protection. Alstom and Siemens tried to merge their rail businesses in 2019. The Commission killed it, saying it would hurt competition. The result: CRRC, China's state railway giant, now dominates global rail markets with revenue larger than Alstom and Siemens combined. Europe regulated itself into irrelevance and now wants to fix it by relaxing the same rules it used to destroy its own companies. The draft guidelines will ask regulators to weigh 'innovation' alongside consumer welfare. That sounds reasonable until you realize Brussels spent the last decade doing the opposite, treating every large company as a threat rather than an asset. The real problem was never merger rules. Europe has no equivalent of the US venture ecosystem that builds companies to global scale in five years. It has no single capital market. It has 27 tax regimes, 27 labor codes, and a regulatory culture that treats growth with suspicion. Relaxing merger rules without fixing any of that just lets existing incumbents get bigger without becoming more competitive. Finland, Ireland, Czech Republic, Estonia, and Latvia already filed a joint objection. They understand that 'European champion' is often code for Franco-German national champion that absorbs smaller competitors from smaller countries. Europe keeps diagnosing the disease correctly and prescribing the wrong medicine.
