I’ve seen it firsthand working with agencies and talking with their leadership, most are trapped in their legacy business models. Agencies monetize headcount, hours, and executional volume. AI collapses all three. Suddenly what took ten people a week can be done by one mid-level analyst that uses Gemini + ChatGPT in a single afternoon and that breaks the revenue model. Instead of adapting these agencies stall. They run “innovation committees” or talk about “exploring AI use cases” but never go all in, because going all in means rebuilding the entire operating model around leverage, not labor.

The next 24-36 months are CRUCIAL if you run an agency. It’s going to determine whether you exit for 10x-20x EBITDA or 1x-2x. My agency predictions over the next 3 years: (1) The M&A gold rush started 3 months ago and peaks in 2027-2028 Family offices, private equity, and 8-9 figure holding companies are hunting agencies right now. Coming out of COVID in 2021, strategic buyers drove deals at 10-15x EBITDA instead of the usual 1-6x range. This time the driver is different: AI capability gaps. Large buyers need working AI inside delivery to compete, but building it in their complex legacy orgs is slow and expensive. Acquiring an agency with the stack already built is faster. (2) No Intellectual property means you're getting bought for parts When you take your agency to market without defensible tech or internal IP, buyers price your client list and talent, then add heavy contingencies. You get 1-2x with 25-50% paid upfront and the rest tied to an earn-out. Most sellers never fully realize the earn-out. Distress deals and client/people deals are brutal. The buyer keeps all the upside while you pray you hit the milestones they structured to protect themselves. (3) Buyers want agencies that look like product companies Strategic buyers pay premiums when your capability unlocks clear distribution or margin advantages inside their portfolio. They're hunting for data brain plus automations plus internal tools tied directly to delivery outcomes. If your stack makes their existing business immediately better, they pay more. Private equity roll-ups pay most for proven, scalable systems. Holdcos need IP now because acquiring is faster than building. (4) You need three specific things to command premium multiples First, an MCP server as your data brain. This private hub ingests and contextually unifies first-party data across tools and accounts. Second, agentic automations using tools like n8n that turn repeatable workflows into reliable, auditable bots that speed work and lift margins. Third, internal tools for the steps that actually move SLA, quality, and margin. Focus on intake, production, and QA. These make you look closer to SaaS in buyer diligence. (5) Budget multi-six figures and expect operational pain This isn't a quick win. Expect to invest multi-six figures and deal with real operational pain. Things break. Timelines slip. Few competitors will grind through it, which increases the value for those who do. Your build window is 2026-2027 to stand up and harden your stack. Peak pressure hits 2027-2028 when incumbents feel the heat and buy their way in. -- If you want a shot at exiting your agency for a 10x-20x multiple… Use the next 24 months to build real IP, instrument it, and package it up to be easily evaluated by buyers. The spread between founders that were diligent and prepared versus those that weren’t is going to be brutal.
