$OCGN isn’t what people think or typical. For marketing reasons is true but not exactly in a way people will assume. Over the last few years, Ocugen has kept moving toward the milestones shareholders approved, and milestones get hit, practically every one of them, compensation tied to them doesn’t stay theoretical forever, turns into real share obligations like we just saw with Jange. Run the numbers and you will see that Ocugen has 390 million authorized common shares and about 338.5 million already outstanding. At first glance it looks like plenty of room left. But once you factor in the options, warrants, RSUs, and PSUs that are already sitting in line to become shares over the next 3 years, the real cushion becomes way tighter. On a conservative rough estimate, Ocugen has closer to 1 million shares of true wiggle room left. So this is more than needing wiggle room to keep the lights on. If Ocugen is gearing up for a global commercial launch, if they want flexibility for future financing, commercialization hires, strategic equity, partnership related share issuance, or simply to satisfy earned compensation, they need more than 1m shares. So this is where a reverse split comes in. A reverse split cuts the number of outstanding shares, but it does not cut the authorized share ceiling. So it can create breathing room without immediately going to shareholders and asking for an authorized share increase while the stock is sitting here. Basically all this is financial gymnastics, it doesn’t mean anything bad but people will see it as so because it’s typically a thing bad company’s usually do when things go bad. In Ocugen’s case, the success over the years has put them in a bind, this is a way they can get out of that bind without begging to increase the authorized shares. Imo vote no, what comes next will be them asking us to increase the authorized shares. I do see why they’d rather do this than ask for another increase, in a stock perspective a low float and wiggle room would be more beneficial, help us move and grow quicker. But I think management worried about a vote to increase is healthy. We help them mind their P’s and Q’s even if they’re already incentivized to do so. I don’t have a problem with an OS increase for talent and global commercialization, it’s nothing compared to the value that’ll come in from a successful global launch.🍻
