$UMAV had a meeting with the FUND on 02/12/2026 to discuss the first payment from the $50M Term Sheet and a strategy moving forward. Priority #1 was agreed to retire the Senior debt. The $UMAV website has been taken down to update the site. $UMAV has purchased uavcorp.com and will be switching over to uavcorp.com. Additional updates will be forthcoming the week of 02/15/2026.

@AristartheHykso My guess is the $10m is not one lump sum but a phased payment. As $umav reachs production milestones more money is released. At the tail end would be debt repayment & buybacks. The investor wants to see the product advance, the stock would be a secondary concern at this juncture

@DarkArrowLLC Agreed it'd be strategic for them to buyback $UMAV shares at lows. However, it's curious that the OS keeps increasing (without disclosed issuances) since the first $10M wire transfer was mentioned on Dec 18th. If the fund would resolve remaining debt, why continue issuing shares?

Been doing my usual digging. $UMAV Share structure is still unchanged. I even called the company, went to voicemail like most OTCs, but they actually called me back the next day. At these price levels, if real news drops, this could turn into one hell of a play.

$UMAV has been finalizing a loan from the $50 million Term Sheet this week as a 1st step thru legal counsel(s). The company is to complete the Q3 accounting early and should have a DRAFT tomorrow for review. The dilution in the market is due to legal obligations to satisfy the senior debt holders until said debt has been satisfied. Part of the loan is to be utilized to stop the bleeding… The pilot is still not in the U.S. due to further delays related to the government shutdown. The Work Visa under DHS/CBP that handles pushing the paper through has been contacted and waiting for feedback through legal counsel. The company is currently scheduled to make announcement next week. Stay tuned to $UMAV!

@AristartheHykso @UAV_Corp The terms (e.g., when conversion can happen, at what price, and by what deadline) are written into the note purchase agreement. They could have notified $umav of the conversion before whatever event (ie LOI) triggered the share buyback if its a shareholder buyback

If $UMAV is repurchasing without a formal program, under SEC Rule 10b-18 & Item 703 of Regulation S-K, they dont need to disclose repurchase activity until their next 10-Q or 10-K.
If they declared a formal buyback plan (which they didnt), they'd have 4 business days to file 8-K

Btw $UMAV shareholders, a new OTC disclosure was published today where Matterhorn received 100M shares on 10/07. Dilution may affect the stock price if they still have shares to sell. @UAV_Corp I wouldn't mind helping PR efforts if you keep on offering shares at par value XD

@DarkArrowLLC As long as they don’t F us over and increase AS again after telling us they lowered it to 500 million to enhance shareholder value, only to double it…twice. They could win big though if they buy back those shares being dumped way down here in the trips then retire them.
