@TheUltimator5 I think doing it any other way would be more heavily scrutinized. Private share offering = definitely scrutinized. Without dilution = scrutinized for "forcing a squeeze". Into dilution = anyone has the same opportunity to buy the shares at that same price themselves.

my feet and knees used to hurt when i walked/ran. i got blisters and bunions on my toes, and my knees would click. i tried MANY things - changed my socks, modified my form, applied glide, tapes, etc. but none of them were long term solutions. after a while, i just learned to live with it. last year, i did a ton of research on the benefits of being barefoot and bought a pair of barefoot shoes and sandals. a bit over 12 months later, i am happy to report that i no longer have blisters or bunions on my feet and my knees no longer click. it's crazy to think that after soooo many years, i'm finally able to walk and run properly again. this is not an endorsement for any brand or product. i just wanted to share my story to let those who are struggling with similar issues know that THERE IS HOPE! 🙏

Activist Investor Market DD #1.1 – FLASHBACK @RyanCohens point of view for $BBBY and $GME before his letters. Part 1: BBBY or What’s BABYs true value? JPM, BofA, Goldman Sachs the Debt, Share Buyback Mafia. BBBY barely unprofitable with always positive cash flows from operations. Perfect fit for an Activist Investor! None of this is financial advice. Do your own DD. The data provided here could be outdated or wrong and is only a starting point for further research. First, I'll show BBBY and GME mapped on the return on buybacks (RoBB) graph (see x.com/beyond_mythos/…) at the point in time before @ryancohen wrote his letters. Both companies were drained of money, nearing their death while operationally being profitable. A probably good pick for an Activist Investor, right? GME: market cap end of 2019, operating income, share buybacks and total shares outstanding from 2010 to 2019 (also 10y). BBBY: market cap end of 2021, operating income, share buybacks and total shares outstanding from 2012 to 2021 (also 10y). In this Part 1 we will look at $BBBY. Let’s see how their operating income, share buyback and an adjusted income looks over time. (Cash flow from operations was positive all the time!) Now let’s look what happened. November 2019, Markt Tritton joined $BBBY as CEO, taking over from Steven H. Temares who was CEO since April 2003 and joined in 1992. From 2019-02-28 to 2021-02-28 Mark Tritton reduced Inventory from $2.6b to $1.7b, upped long-term debt from $1.9b to $2.9b and restarted share buybacks in 2021. All while cash flow from operations was positive all the time. We will find a pretty similar situation with GME but with a massive drop in just one year (sneak peek): Interesting, right? What happened there is for another post. RC mentions in his letter not only the with $36m p.a. very high stock-based compensation for a company with $1.6bn market cap, but also 1) their share buy backs (he sees them) and lack of focus 2) the value of BABY 3) the possible sale of BABY and 4) the misalignment between executives, board and shareholders [1]. What is Buybuy Baby’s real value? Buybuy Baby was *never* disclosed in their financial statements. I found this super interesting. RC writes in his letter from March 6, 2022 [1] "BABY is estimated to reach $1.5 billion in [...] 2023 with a double-digit growth [...] is likely much more valuable than the Company’s entire market capitalization today". RC cites an Investor presentation of Oct 28, 2020 [2]. He is assuming double-digit margins for BABY. Let's dig. A quick search leads us to: Bank of America, Jun 26,2020. BofA?? Wait what? "[BABY] could be the company's most valuable name, according to Bank of America analysts. [...] but a nearly complete lack of disclosure has made it difficult for investors to value". BofA estimates $1.2b in sales, mid-single-digit growth potential for next five years and strong online business [3]. Interestingly, "The Street" claims BABY sales are at least $1.2b with a 9% Ebitda margin (€108m), being "well above the company average" [4]. That sounds more conservative than four months later in BBBY's investor presentation and what RC picked up, right? "[BofA] Analysts rate Bed Bath & Beyond stock buy with a $14.50 price objective, up from $12.50. Bed Bath & Beyond shares are up 6.5% in Friday trading". "The company’s stock recently traded at $10, up 5.5%. It has soared 81% over the past three months and dropped 86% over the past five years." [3,4] Hype? Jun 26, 2020. BofA. Let's check SEC filings, shall we? We find Curtis Nagle, CFA, the same analyst giving the buy rating [3,4] said in 2019 "Management is pursuing a plethora of growth initiatives that have yet to materially benefit earnings" [5]. June 19, 2020, JPMorgan and BofA, Bank of America enter into a credit agreement with BBBY of about $850m including an possible expanse of $375m [6]. The Agreement matures on June 19, 2023. BBBY needs to repay any amount of the loan above $600m if their cash and equivalents exceeds $100m at any time. On October 28, 2020, "Bed Bath & Beyond Inc. (the “Company”) entered a $225 million accelerated share repurchase agreement (the “ASR Agreement”) with JPMorgan Chase Bank" [9]. August 9, 2021, the credit agreement was extended to $1bn, maturing in 2026 [7]. January 6, 2022 reporting for November 27, 2021. This is the last official filing before RCs letter. We read "[d]uring the third quarter of fiscal 2021, we announced that we expect to complete our $1 billion three-year repurchase plan by the end of fiscal 2021, two years ahead of schedule" [8]. Also, "[w]e had approximately $1.5 billion remaining of authorized share repurchases as of November 27, 2021". We see a net loss of $401m while the company bought back shares for $359m. Oh come on. We see a stock-based compensation of roughly $27m. So, an actual loss of $15m before buy backs and overpaid executive compensation?! Sounds doable for an activist investor especially if you would just up the inventories. Do you see the opportunity? Overpaid executives sometimes not damage operations in an unfixable way. They tunnel out money. They make the company look bad until it goes bankrupt because of semi-business-related matters. When Activists can step in and stop this, they might be able to recover shareholder value. Extra 1: Is BABY really this valuable or were BofA and JPM just pushing a nice story for shareholder before bankrupting the company and draining out money through debt and share buybacks? Extra 2: Remember that @larryvc said retail investor groups will be more influential than Goldman Sachs? Who did the Share Repurchase with BBBY all the years before JPMorgan stepped in? Goldman Sachs! [10]. Interesting point raised today on why it’s ok to have a phone call that lasts a minute or two, but Zoom calls are typically scheduled for a minimum of 30 minutes. It makes you wonder how often a 5-10 min phone call is being replaced inefficiently with a 30-minute Zoom slot.

I have always been on the outside. I played with BBS back in the mid 80s. I learned the old switching system. My father was a shrink and kinda..mucked with me...always keeping..on guard... he gave me a boon on subliminal advertising when I qas 10 to read. I probably suffered greatly bc of this conflict I have lived in..attempting to assimilate and never feeling as if I did. I believe my PTSD ..having it so young... kept my brain "different"- and I have come to the conclusion that my biological struggles are actually part of the proof of the point..I am not under the matrix..not fully. I'll sush again.. yet.. this would be a long conversation.. I believe tho that a physical Intersection is part of the process.. a physical challenge or experience that pops the dissonance.... Many people I our group are survivors of NDEs..TBIS..have PTSD..I believe there would be measurable differences in our brains..smaller amygdala..less inflamed.. Prob more frontal lobe circulation... I bet we could measure some of the "changes"... in real brain scans....this is my hypothesis after watching the pattern of people showing me this to be real....💕🫶🙏
