Forward Industries has completed a transaction to repurchase 6,164,324 of Forward shares from an institutional investor at a price of $4.44 per share.
This transaction reduces Forward's outstanding share count from 83,142,133 to 76,977,809 and increases SOL per share from 0.0624 as of 12/31/25 to 0.0662 as of 3/18/26, an annualized increase of 29%.
The transaction is financed via a $40M loan agreement with @galaxyhq with a weighted average maturity of 4.9 months and a weighted average interest rate of 3.4%.
As part of this agreement, Forward is providing fwdSOL as collateral and will continue to receive SOL staking rewards on the underlying staked SOL, enabling greater capital efficiency and unlocking opportunities to increase shareholder value.
