Instead, they turned to Section 245 of the Companies Act — a rarely used provision that allows shareholders to band together and sue #promoters through a single case. Their charge: the company’s promoters #siphoned off more than ₹2,780 crore, enriching other promoter-controlled entities while #public shareholders bore the cost. For #India’s #markets, the case is bigger than one company. It is the first real test of Section 245, a tool designed to check promoter power in a system where retail investors have long had little recourse. The stakes extend far beyond this single case. #Fund #managers are studying the precedent for potential application to their #portfolio #companies.
