Gotta agree with Elon here. Although I worked in the SEC Enforcement Division for almost 20 years, like most SEC staffers, I never worked on a 13(d) investigation because 13(d) investigations were typically not only a waste of time but I had far more important investigations that needed attention. (In other words, I would rather not waste my energy writing parking tickets.) So I must confess that I could be missing something. But here’s my take: This case seems almost as absurd as the SEC 2008 case against @MarkCuban, and a transparent attempt by Chair Gensler to garner some last minute headlines days before his exit and to also stick it to President Trump. I read the flimsy 11-page (!) complaint and this sounds like an extraordinarily weak case to me. Here’s why: A person must file a Form 13(d) not just because they own 5% but the person must also "have the purpose or effect of changing or influencing the control of the issuer." Won't it be a very easy defense for Musk to simply deny his intention asserting, for example: "Even though I was told that I had amassed 5% of the shares of Twitter, It was not clearly my intention to take over Twitter at that time, I wasn't sure what the future held, it was a chaotic situation and, like any business person under such chaotic circumstances, I was getting advice from all sides, and was never certain of my plan or ultimate objective. At first, all I wanted was a Board seat. Moreover, filing a Form 13(d) could have been perceived as a scheme and manipulation tactic to increase the value of my 5% shares — and take the profits and run. In fact, I would have been lying if I filed a Form 13(d), because I was not sure I wanted to acquire Twitter but filing the Form 13(d) would have instantaneously doubled or tripled the value of my 5% Twitter holding.” That's why a 10% ownership makes filing mandatory but 5% ownership also has that second prong “intent” requirement. Again, I am not a 13(d) expert, so please let me know if I am missing something.
