Wyoming is good advice, for someone but maybe not you. Everyone says Wyoming because Wyoming is easy to say. Low fees, no state income tax, privacy protections. and good for Americans holding assets. That's the full reasoning behind most of the advice you've read. Nobody asking those questions thought about you specifically: -- What kind of business are you running? -- Do you have US customers or global ones? -- Are you a solo service provider or do you have a team? Wyoming is a default and defaults are not strategies. Delaware exists for a reason too. If you ever want to raise venture capital, bring on investors, or issue equity, Delaware is the standard. Wyoming will create friction later. Most founders outside the US don't need that yet. But "not yet" matters. Here's the part nobody writes about: The state your LLC is formed in matters less than whether your banking, EIN, and Stripe setup are actually configured correctly. A Wyoming LLC with a broken payment stack is worthless. The question is not Wyoming vs Delaware. The question is: what does your business need to do in the next 24 months, and is the structure you're building actually built for that? Most founders from Ghana, Nigeria, Pakistan get this backwards. They spend three weeks on state selection and three hours on banking. That my friends, is the wrong ratio. If you are having that confusion or you are about to start your LLC filing or registration, then I have two things to say to you. 3 months ago, I met one of the sharpest product designers I've ever come across from Rwanda. 80% of his clients are from Europe & the US, & he built his business almost entirely on referrals, which tells you everything about the quality of his work. He'd been using his cousin's Stripe account for 14 months. It started the way it always starts, a client needed to pay by card, so he couldn't get a Stripe account from Rwanda, but his cousin living in London had one. It was supposed to be a one-time thing while Emmanuel figured out a better setup. 1 year later, he was processing $12k a month through it. Stripe decided to flag it on a Tuesday, & he was meant to receive payments on Friday. By Thursday, his cousin's account was under review. $8,400 in pending payouts were frozen. Emmanuel had 2 active client contracts with payment links that now led nowhere & he was this close to losing his clients. His cousin, who had done nothing wrong except trust him, spent 2 months trying to get Stripe to release the funds. I am not sharing this to scare anyone, I am sharing it because Emmanuel's situation is not rare, & the people in it rarely talk about it publicly because there's shame attached to most of the time. The system created this problem. Stripe's country restrictions leave founders from Africa, South Asia, and Middle East, with no legitimate solution. When a client needs to pay by card & you have no way to accept cards, you find a workaround. But the workaround has a limit, &it usually causes problems without warning. Here's what Stripe's system is monitoring that most people don't realize: -- Payout destination: If the bank account receiving funds is your cousin's, but your clients think they're paying your business, you are breaking Stripe's policy. -- Transaction pattern mismatches: If the registered business is "James Brown Consulting" but the payments are coming in for SaaS subscriptions or digital products, the algorithm notices. None of this requires anyone to do any wrong, the structure itself is the flag. Form your own US LLC first un any US state, as they work well for non-residents, get your EIN, open your own US business bank account, no SSN required. Apply for Stripe under your own entity. Then before you close or abandon anything, migrate your clients to your new payment link. This is if you are in Emmanuel's shoes. Emmanuel has his own Stripe account now, under his own LLC. His cousin's account eventually had the funds released (we helped him do this by the way).
